04:4 PDVSA COMPENSATION AGREEMENT UNDER THE FRAMEWORK OF THE PETROCARIBE ENERGY COOPERATION AGREEMENT

Between PDVSA Petroleo, S.A. (hereinafter referred to as "PDVSA"), a mercantile society registered in the Second Mercantile Register of the Federal District (now, Capital District) and Miranda State, on November 16, 1978, under No. 26, Volume 127-A SDO., which constitutive document has undergone various changes, with the last of these changes registered in the previously mentioned Mercantile Registry on March 16, 2007, under No. 57, Volume 49-A Sgo.; domiciled at Libertador Avenue, La Campiiia Urbanization, Headquarters of Petroleas de Venezuela, in the city of Caracas, Bolivarian Republic of Venezuela, represented in this act by the citizen Victor Eduardo Aular Blanco, Venezuelan, of adult age, of this address and bearer of the National Identification Number No. 6.835.572, sufficiently authorized for this act, on the one hand; and, on the other hand, the Ministry of Finance of the Cooperative Republic of Guyana, located at 49 Main & Urquhart Streets, Georgetown, Guyana, duly represented by the Minister of Finance, Ashnl Singh, of Guyanese nationality, of adult age, bearer of the personal Identification No. 3065745, domiciled in and resident of the city of Georgetown, capital of Guyana, in his capacity as Minister of Finance as established in the External Loans Act (Chapter 74:08) dated January 1, 1973; who hereinafter and for the sole purpose of the present agreement are referred to as THE PARTIES.

CONSIDERING

That on June 29, 2005, the PETROCARIBE Energy Cooperation Agreement was signed in the city of Puerto La Cruz, between the Bolivarian Republic of Venezuela, the Cooperative Republic of Guyana, Antigua and Barbuda, the Commonwealth of the Bahamas, Belize, the Republic Cuba, the Commonwealth of Dominica, Grenada, the Commonwealth of Jamaica, the Dominican Republic, St. Lucia, the Federation of St. Kitts and Nevis, St. Vincent and the Grenadines and the Republic of Suriname.

That the purpose of the said Energy Cooperation Agreement is the creation of PETROCARI as the enabling arm of energy policies and plans, aimed towards the integration of th

(4 PDVSA Caribbean peoples, through the sovereign use of natural energy resources for the direct benefit of their peoples. That in compliance with the said Energy Cooperation Agreement, the Bolivarian Republic of Venezuela supplies crude oil, refined products and LPG or, its energy equivalents, to the Cooperative Republic of Guyana, under a financing scheme which contemplates that the deferred payments may be made with goods and services at preferential prices and through compensation mechanisms. That on June 11, 2009, the Fifth Meeting of the PETROCARIBE Ministerial Council was held, in which the compensation mechanism for the financing of the oil bill with goods and services was approved; in order to promote the access of small and medium-sized producers to commercial exchange, as well as to take advantage of the economic potential of PETROCARIBE member countries. That the Ministry of Finance is the institution of the Cooperative Republic of Guyana that serves as the financial intermediary in the negotiations relating to the payment of the debt to the Bolivarian Republic of Venezuela, through the cited compensation mechanisms.

That the debt due to the supply of paddy and white rice made by the Guyana Rice Development Board (GRDB), a government entity of the Cooperative Republic of Guyana, to the Corporation de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) for the period April 1, 2014 to August 31, 2014, amounts to the total sum of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00) as stated in the communication N° DGA-GAF-DPFI-001092-2014 dated September 8, 2014 signed by t Corporation de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.), the entity attache to the Ministerio del Poder Popular para la AlimentaciOn of the Bolivarian Republic of Venezuela, as detailed in Annex "A" which is an integral part of this document.

That the Cooperative Republic of Guyana, through the Ministry of Finance, paid the Guya Rice Development Board (GRDB), the amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00) for the deb

t4 PDVSA assumed by the Corporation de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) with the Guyana Rice Development Board (GRDB) for the supply of paddy and white rice for the period April 21, 2014 to August 27, 2014 as indicated in the declaration done on September 11, 2014 by the General Manager of the Guyana Rice Development Board, Which is attached under Annex "B", as an integral part of this document. That a portion of the long-term account receivables, originating from the supply of products by PDVSA to the Guyana Energy Agency of the Cooperative Republic of Guyana, as can be seen in the relation to the promissory notes (hereinafter referred to as "Securities") that support these obligations, which are detailed in Annex "A" of this document, under the title "Not yet Matured Promissory Notes" with Bill of Lading Dates from February 21, 2013 to April 7, 2013 amount to Seventy-Six Million Seventy-Seven Thousand Five Hundred and Seventy-Eight Dollars of United States of America and Thirty-Two Cents (US$ 76.077.578,32). By virtue of the foregoing, THE PARTIES enter into this Debt Compensation Agreement under the framework of the PETROCARIBE Energy Cooperation Agreement (hereinafter the "Agreement") which shall be governed by the following clauses: FIRST: The Cooperative Republic of Guyana declares that it has paid to the Guyana Rice

Development Board (GRDB) for the supply of paddy and white rice to the Corporation de Abastecimiento y Servicios Agatelas, S.A. (C.A.S.A., S.A.) of the Bolivarian Republic of Venezuela, received for the period April 21, 2014 to August 27, 2014, the total amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00), for the debt assumed by the Corporaci6n de Abastecimiento y Servicios Agit°las, S.A. (C.A.S.A., S.A.) with the Guyana Rice Development Board (GRDB), for the supply of paddy and white rice as indicated in the declaration done on September 11, 2014 by the General Manager of the Guyana Rice Development Board, which is attached under Annex "B".

In this regard, the Cooperative Republic of Guyana is the new creditor for the supply of the referred products, by the amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars o United States of America and Zero Cents (US$ 69.010.500,00).

Accordingly, PDVSA will honour the obligation for the amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00), in conformity with the mechanism of cancellation of obligations set forth in this Agreement.

SECOND: The portion of the long-term debt that the Cooperative Republic of Guyana, through the Ministry of Finance, is obligated to pay PDVSA for the supply of crude and petroleum products, and backed by Securities, as shown in Annex "A", amounting to Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00), will be used by the Cooperative Republic of Guyana to implement the mechanism of cancellation of the obligations, in the terms set forth in this Agreement.

THIRD: The Parties agree to cancel, up to their point of concurrence, the obligations indicated in the First and Second Clauses of this Agreement for the amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00) and, in consequence, PDVSA will deliver the Securities which represent the long-term payment for the supply of petroleum and oil products to its issuer duly cancelled.

However, the Securities listed in Annex "A", under the title "Not yet Matured Promissory Notes", have a nominal value of Seventy-Six Million Seventy-Seven Thousand Five Hundred and Seventy-Eight Dollars of United States of America and Thirty-Two Cents (US$ 76.077.578,32), which includes the principal and interest of the debt that should have been generated up to the maturity date, originally set for within seventeen to twenty-five (17-25) years including a twoyear (2) grace period, at one or two percent (1% or 2%) of annual interest based on the price of the oil barrel, as established in the PETROCARIBE Energy Cooperation Agreement.

Thus, in accordance with this Agreement a portion of the long-term debt for the supply of hydrocarbon products to the Guyana Energy Agency, represented in Securities, have been cancelled before the original date of maturity pursuant to this Agreement, and at the pre date, the capital and interests actually generated by this debt did not represent the nomin value of the mentioned Securities, but the sum of Sixty-Nine Million Ten Thousand Fiv

In this regard, the Securities, duly cancelled, shall be delivered to its issuer with the nominal value of Seventy- Six Million Seventy-Seven Thousand Five Hundred and Seventy-Eight Dollars of United States of America and Thirty-Two Cents (US$ 76.077.578,32). FOURTH: The Cooperative Republic of Guyana will hold PDVSA or any other public entities in the Bolivarian Republic of Venezuela harmless of any claim that the Guyana Rice Development Board (GRDB) may formulate for the non-payment of supplies of paddy and white rice received by the Corporacion de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) for the period April 21, 2014 to August 27, 2014 for the amount of Sixty-Nine Million Ten Thousand Five Hundred Dollars of United States of America and Zero Cents (US$ 69.010.500,00) as specified in Annex "B". FIFTH: The Parties agree that any doubt or controversy that may arise from the interpretation or execution of this Agreement will be resolved through direct negotiations between the PARTIES. This Agreement will be governed by Venezuelan law. This document is prepared in two (2) versions, one in Spanish and the other in English; in the case of discrepancies between the two versions, the version in Spanish will prevail. Two (2) copies are made having the same effect and tenor. Done in Caracas on the twelfth (12th) day of the month of September of the year 2014.

ACUERDO DE COMPENSACION EN EL MARCO DEL ACUERDO DE COOPERACIoN ENERGETICA PETROCARIBE

Entre PDVSA Petroleo, S.A. (en adelante PDVSA), sociedad mercantil inscrita en el Registro Mercantil Segundo del Distrito Federal (Hoy Capital) y Estado Miranda, en fecha 16 de noviembre de 1978, bajo el N° 26, Tomo 127-A Sdo., cuyo documento constitutivo, ha sufrido diversas reformas, siendo la Ultima de estas inscrita por ante el referido Registro Mercantil, en fecha 16 de marzo de 2007, bajo el N° 57, tomo 49-A Sdo., domiciliada en la Avenida Libertador, Urbanizaci6n La Campifia, Edificio PetrOleos de Venezuela, en la ciudad de Caracas, RepOblica Bolivariana de Venezuela, representada en este acto por el ciudadano Victor Eduardo Aular Blanco, venezolano, mayor de edad, de este domicilio y titular de Ia cedula de identidad N° V-6.835.572, suficientemente autorizado pars este ado, por una parte; y por Ia otra, el MINISTERIO DE FINANZAS DE LA REPUBLICA COOPERATIVA DE GUYANA, ubicado en 49 Main & Urquhart Streets, Georgetown, Guyana, debidamente representado por el Ministro de Finanzas, Ashni Singh, guyanOs, mayor de edad, portador de la cedula de identidad personal No. 3065745, domiciliado y residente en la ciudad de Georgetown, capital de Guyana, en su caracter de Ministro de Finanzas segon consta en la External Loans Act (Chapter 74:08), de fecha 1 de enero de 1973; quienes en lo sucesivo y a solos efectos del presente acuerdo se denominaran LAS PARTES.

Que dicho Acuerdo de Cooperaci6n Energetica tiene por objeto Ia creation de PETROCARIB como organ° habilitador de politicas y planes energeticos, dirigido a la integraci6n de

Que confomie con dicho Acuerdo de Cooperaci6n Energetica, Ia RepOblica Bolivariana de Venezuela suministra crudo, productos refinados, GLP o sus equivalentes energeticos, a la Reptiblica Cooperative de Guyana, bajo un esquema de financiamiento que preve que los pagos diferidos puedan realizarse con bienes y servicios a precios preferenciales y por medio de mecanismos de compensacion. Que en fecha 11 de junio de 2009, se celebr6 la Quinta Reunion del Consejo Ministerial de PETROCARIBE, en la que se aprobo el mecanismo de compensaciOn del financiamiento de la facture petrolera con bienes y servicios; a fin de fomenter el acceso de los pequefios y medianos productores al intercambio comercial, asi como aprovechar las potencialidades econ6micas de los parses miembros de PETROCARIBE. Que el Ministerio de Finanzas es Ia instancia de la Reptiblica Cooperative de Guyana que funge como intermediaria financiera en las negociaciones relacionadas con el pago de la deuda a la Republica Bolivariana de Venezuela, por medio de los referidos mecanismos de compensaci6n. Que la deuda por el suministro de arroz paddy y arroz blanco efectuado por Guyana Rice Development Board (GRDB), ente de la Reptiblica Cooperative de Guyana, a la Corporacidn de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) durante el perlodo comprendido entre el 01 de abril 2014 al 31 de agosto de 2014, alcanza la suma total de Sesenta y Nueve Millones Diez Mil Quinientos d6lares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00) segOn se desprende del oficio N° DGA/GAF/DPFI-001092-2014 de fecha 08 de septiembre de 2014 suscrito por Ia CorporaciOn de Abastecimiento y Servicios Agloolas, S.A. (C.A.S.A., S.A) adscrito al Ministerio de Poder Popular para la Alimentacion de la RepOblice Bolivariana de Venezuela, detallados en el Anexo °A" de este documento.

Que Ia RepOblica Cooperative de Guyana a traves de su Ministerio de Finanzas page a Guyana Rice Development Board (GRDB), la suma total de Sesenta y Nueve Millones Diez Mil Quinientos dOlares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00), por concepto de Ia deuda asumida por la Corporacion de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) con Guyana Rice Development Board (GRDB), por el suministro durante el periodo comprendido entre el 21 de abril 2014 al 27 de agosto de 2014 de arroz paddy y arroz blanco, segOn se desprenden de la declaraciOn efectuada por el Gerente General de Guyana Rice Development Board (GRDB), en fecha 11 de Septiembre de 2014, el cual se anexa at presente Acuerdo marcado como Anexo "B". Que una porci6n de la cuenta por cobrar a largo plazo, originada por el suministro de hidrocarburos de parte de PDVSA a la Agenda de Energie de Guyana en Ia Republica Cooperative de Guyana, segon se desprende de la relaciOn de pagares (en lo sucesivo denominados los Titulos Valores) que respaldan estas obligaciones y se detallan en el Anexo "A" de este documento bajo el titulo de "pagares no vencidos" durante el periodo comprendido entre la Fecha BL 21 de febrero de 2013 al 7 de Abril de 2013, alcanza la suma total de Setenta y Seis Millones Setenta y Siete Mil Quinientos Setenta y Ocho dOlares de los Estados Unidos de America con Treinta y Dos centavos (US$ 76.077.578,32). En virtud de lo antes expuesto, LAS PARTES celebran el presente Acuerdo de Compensaci6n de Deudas (en adelante el "Acuerdo"), en el marco del Acuerdo de Cooperation Energetica PETROCARIBE el cual se regire por las siguientes clausulas:

PRIMERA: La RepUblica Cooperative de Guyana, declare que ha pagado a Guyana Rice Development Board (GRDB), por el suministro de arroz paddy y arroz blanco a la CorporaciOn de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.) de Is ReptibLica Bolivariana de Venezuela, recibidos durante el periodo comprendido entre el 21 de abril 2014 at 27 de agosto de 2014, la cantidad total de Sesenta y Nueve Millones Diez Mil Quinientos dOlares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00), por concepto de la deuda asumida por la CorporaciOn de Abastecimiento y Servicios Agricolas, S.A. 074 PDVSA segiin se desprenden de la declared& efectuada por el Gerente General de Guyana Rice Development Board (GRDB), en fecha 11 de Septiembre de 2014, el cual se anexa al presente Acuerdo marcado como Anexo "B". En tal sentido, la Realica Cooperative de Guyana, es is nueva acreedora por el suministro de dichos productos, por Ia cantidad de Sesenta y Nueve Millones Diez Mil Quinientos d6lares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00) En consecuencia, PDVSA honrare conforme al mecanismo de extincion de obligaciones establecido en el presente Acuerdo, obligaciones por el monto de Sesenta y Nueve Millones Diez Mil Quinientos d6lares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00) SEGUNDA: La porcion de la deuda a largo plazo que Ia Rep&lice Cooperative de Guyana a traves de su Ministerio de Finanzas debe pagar a PDVSA, por concepto de suministro de hidrocarburos, y respaldada en los Titulos Valores, tal como se evidencia en el Anexo °A" parte integrante del presente documento, que asciende a la cantidad de Sesenta y Nueve Millones Diez Mil Quinientos d6lares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00), sera utilizada para implementer el mecanismo de extinclOn de obligaciones, en los terminos establecidos en el presente Acuerdo.

TERCERA: LAS PARTES acuerdan extinguir hasta su concurrencia las obligaciones indicadas en las clausulas Primera y Segunda del presente Acuerdo por el monto de Sesenta y Nueve Millones Diez Mil Quinientos d6lares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00) y en consecuencia, PDVSA debera entregar los Titulos Valores que representaban Ia obligaciOn de pago a largo plazo por el suministro de hidrocarburos a su emisor, debidamente cancelados.

,v 4 PDVSA Sin embargo, los Titulos Valores que se detallan en el Anexo "A" bajo el titulo "pagares no vencidos", tienen un valor nominal de Setenta y Seis Millones Setenta y Siete Mil Quinientos Setenta y Ocho &Slams de los Estados Unidos de America con Treinta y Dos centavos (US$ 76.077.578,32), que incluye el capital de la deuda y los intereses que debian causarse hasta su vencimiento, originalmente previsto de diecisiete a veinticinco (17 a 25) arios incluyendo dos (2) &kis del periodo de gracia, al uno o dos por ciento (1 6 2%) de interes anual en fund& del precio del bard, conforme se establecio en el Acuerdo de Cooperaci6n Energetica Petrocaribe. Ahora bien, conforme a lo establecido en el presente Acuerdo una porci6n de la deuda a largo plaza por suministro de hidrocarburos a la Agenda de Energia de Guyana representada en los Titulos Valores, ha sido extinguida antes del vencimiento originalmente previsto, y a la presente fecha el capital y los intereses realmente causados de dicha deuda, no representaban el valor nominal de los referidos Titulos Valores, sino la suma de Sesenta y Nueve Millones Diez Mil Quinientos dolares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00), En ese sentido, seran entregados a su emisor los Titulos Valores por valor nominal de Setenta y Seis Millones Setenta y Siete Mil Quinientos Setenta y Ocho Mares de los Estados Unidos de America con Treinta y Dos centavos (US$ 76.077.578,32), debidamente cancelados.

CUARTA: La Republica Cooperative de Guyana mantendra indemne a PDVSA u otros entes publicos en la RepOblica Bolivariana de Venezuela, ante cualquier reclamo, intimation y/o cobro que Guyana Rice Development Board (GRDB), formule por el pago del suministro de arroz paddy y arroz blanco recibidos por la Corporation de Abastecimiento y Servicios Agricolas, S.A. (C.A.S.A., S.A.), durante el periodo comprendido entre el 21 de abril de 2014 al 27 de agosto de 2014, la cantidad total de Sesenta y Nueve Millones Diez Mil Quinientos dOlares de los Estados Unidos de America con Cero Centavos (US$69.010.500,00) especificados en el Anexo "B".

QUINTA: LAS PARTES acuerdan que cualquier duda o controversia que pueda surgir de la interpretaci6n o ejecucion del presente Acuerdo sera resuelta a haves de negociaciones directas entre LAS PARTES. El presente Acuerdo se regird por el Derecho venezolano. El presente documento se prepara en dos (2) versiones, una en castellano y otra en inglas, en caso de discrepancia entre ambas versiones, prevalecera la version en castellano. Se hacen dos (2) ejemplares a un solo efecto y a un mismo tenor. En Caracas, a los doce (12) dfas del mes de septiembre del alio 2014.
