Elite Credits are valid for two years from the arrival date of the deposited vacation!

Reserve Incredible Vacations Browse Elite Alliance availability, select a 7-, 4-, or 3-night stay, and reserve using your Elite Credits and paying the Exchange fee or by simply paying the Elite Escape or Access Vacation price. You can also put a vacation on hold for 24-hours and add Travel Insurance to select properties. Frequently Asked Questions WHAT IS QUIMERA? The Quimera is a fractionally owned enclave of luxurious, elegantly furnished four-bedroom vacation residences within the renowned Ventanas de San Miguel resort community. Owners lodge in their meticulously appointed homes during their frequent vacations and enjoy a multitude of recreational and cultural activities. The beguiling history, architecture, galleries, restaurants, bars, nightclubs and friendly residents of San Miguel are only a few minutes away.

WHAT ARE THE ADVANTAGES OF QUIMERA OWNERSHIP? Quimera combines the benefits of San Miguel home ownership with golf privileges, country club amenities, resort services and home exchange opportunities. Owners enjoy generous and flexible vacation use that mirrors that of a “typical” Ventanas de San Miguel vacation home owner. Quimera eliminates the worries associated with absentee ownership and significantly reduces the purchase price and annual expense.

HOW MANY OWNERS WILL SHARE EACH QUIMERA HOME? There are only ten owners of each Quimera residence, allowing for frequent and flexible lodging throughout the year. Ownership is evidenced by a real estate deed. Each owner is conveyed a one-tenth, debt-free interest in one of Quimera’s stunning, fully furnished residences.

CAN MORE THAN ONE FAMILY OR INDIVIDUAL SHARE A SINGLE OWNERSHIP? Yes. Individuals can form legal entities to control an ownership. It will be up to the joint owners to select a Designated Owner who can reserve lodging for that ownership in compliance with Quimera’s reservations policies.

AS AN OWNER, HOW OFTEN CAN I VACATION AT MY QUIMERA? As often as you wish, subject only to Quimera reservations policies and availability. Owners have the flexibility of reserving Planned Vacations well in advance and also visiting on a space-available basis. Each year, owners may reserve 21 days of Planned Vacations prior the start of the Vacation Year. This leaves abundant additional occupancy for space-available vacations. There is no limit on use, if some owners use their Quimera residence less, others can enjoy them more often.

Frequently Asked Questions continued HAVE RESIDENCE CLUBS BEEN SUCCESSFUL IN OTHER PRESTIGIOUS DESTINATIONS? Yes. The first residence club was introduced more than 30 years ago in the United States at top-rated Deer Valley Resort in Park City, Utah. Since that time, residence clubs have been enthusiastically embraced by affluent buyers at premier resorts such as: Aspen, Vail, Telluride, and Steamboat Springs, Colorado; Palm Springs, Napa Valley, Lake Tahoe, Mammoth Lakes, and San Francisco, California; Scottsdale, Arizona; Manhattan; Tucker’s Town and Southampton, Bermuda; Los Cabos and Huatulco, Mexico; Florence and the Tuscan countryside in Italy; and many other coveted locations. Each of these residence clubs is owned and operated much like Quimera. Elite Alliance Founder Steve Dering, creator of the residence club concept, is part of the Quimera team.

WILL QUIMERA OWNERS ALWAYS STAY IN THE RESIDENCE IN WHICH THEY HAVE OWNERSHIP? No. To provide the greatest flexibility and availability, owners have equal access to all Quimera residences. Requests for a specific Quimera home will be granted whenever possible.

WHAT IF THE NUMBER OF OWNERS WISHING TO STAY AT THE QUIMERA DURING SPECIFIC DATES EXCEEDS THE NUMBER OF AVAILABLE QUIMERA RESIDENCES? Quimera is designed to equitably allocate vacations when demand for lodging may exceed supply. A rotating priority system® ensures all owners will have equal access to the most-requested dates over the years. This system has proved fair and equitable for more than 30 years.

CAN I SEND GUESTS TO ENJOY MY QUIMERA VACATIONS? Yes. As with any vacation home, owners may invite unaccompanied guests to use any of their confirmed vacations without a guest fee.

CAN QUIMERA OWNERS RENT A PORTION OF THEIR VACATION TIME? No. Quimera is designed for the exclusive use of owners and their invited guests, including Elite Alliance exchange guests. An owner may not advertise or make Quimera available for rental.

CAN QUIMERA OWNERS RESERVE MORE THAN ONE RESIDENCE DURING THE SAME TIME PERIOD? Yes. Because Quimera owners are not restricted to the home in which they have deeded ownership, they can use their reservation privileges to reserve more than one residence at any given time, if sufficient homes are available. This is an ownership benefit unique to residence clubs that allows Quimera owners to host family reunions, a large gathering of friends, or corporate retreats.

CAN I EXCHANGE QUIMERA LODGING PRIVILEGES WITH OWNERS OF OTHER LUXURY RESORT PROPERTIES? Yes. Quimera has been selected to participate in the prestigious Elite AllianceSM exchange program. Your complimentary Elite Alliance membership provides exchange privileges with owners at a large and expanding family of prestigious properties in premier destinations around the world.

DO QUIMERA OWNERS PAY ANNUAL MAINTENANCE FEES? Yes. The comprehensive annual fees pay for the professional management and operation of Quimera. Included in these annual fees are funds for property tax, master association fees, staff salaries, supplies, home maintenance, transportation, trash removal, legal/accounting, utilities, management fee, housekeeping, and reserves for the scheduled replacement of residence furnishings and appliances. These fees are a fraction of the all-in costs associated with t raditional vacation home ownership.

DO OWNERS PAY ANY LODGING FEES WHEN THEY VACATION AT THEIR QUIMERA? No.

CAN MY QUIMERA OWNERSHIP BE RESOLD? Yes. Like any other form of real estate, an owner’s deeded real estate interest can be sold or transferred by the owner, or sold by the licensed Mexican real estate broker selected by the Quimera developer.

Reservations Privileges The Reservation Privileges for Quimera have been designed to provide equal use of all Quimera Residences for all Owners. Owners can use lodging during “Planned Vacations” and on a “Space Available” basis. These usage options are described below. The Reservation Privileges have been carefully formulated in an attempt to be fair and equitable to all Owners. Each Owner’s Planned Vacations and Space Available Vacations will be confirmed in a Residence but not necessarily in the Residence in which the Owner owns a deeded interest.

DEFINITIONS Quimera combines the benefits of San Miguel home ownership with golf privileges, country club amenities, resort services and home exchange opportunities. Owners enjoy generous and flexible vacation use that mirrors that of a “typical” Ventanas de San Miguel vacation home owner. Quimera eliminates the worries associated with absentee ownership and significantly reduces the purchase price and annual expense.

“ACCOMPANIED GUEST” - There are only ten owners of each Quimera residence, allowing for frequent and flexible lodging throughout the year. Ownership is evidenced by a real estate deed. Each owner is conveyed a one-tenth, debt-free interest in one of Quimera’s stunning, fully furnished residences.

“MANAGEMENT” - The professional company selected by the Quimera Board of Directors to supervise the day-to-day operations of Quimera.

“MAINTENANCE FEES” - The fees paid by Owners for the professional management, operation and maintenance of all Quimera Residences, furnishings and facilities. Included in these fees are funds for staff salaries, supplies, repairs, window washing, trash removal, legal/ accounting, fuel, utilities, property taxes, transportation, Planned Vacation housekeeping costs, and replacement and/or refurbishing of Quimera furnishings and facilities.

“OWNER” - The owner of a Quimera fractional real estate interest or the person designated in writing by the owner (the “Designated Owner”) to have Quimera ownership privileges, including their spouse and children up to age 23. The owners of each Quimera fractional interest must identify one person whose responsibility it is to submit Planned Vacation and Space Available Vacation requests. For the purposes of this document, Owner and Ownership are used interchangeably. However, it should be noted that in cases where a Quimera Interest is owned by more than one person or family, only the Designated Owner may submit reservation requests.

“OWNERSHIP INTEREST” - An effective 1/10th deeded ownership interest in a Residence and lodging privileges.

“PLANNED VACATIONS” - Those pre-reserved days when an Owner can use a Residence or can send Unaccompanied Guests to use a Residence at no charge, except for the published housekeeping fees and incidental charges. Owners are given the opportunity to reserve three Planned Vacations in a Residence each Vacation Year of up to seven days each (21 days total). In the event an Owner wishes to cancel a Planned Vacation reservation, that request for cancellation must be received by Management, in writing, at least 14 days prior to the scheduled arrival, in order for the Owner to retain the usage rights associated with the canceled Planned Vacation days. If the written cancellation notice is not received by Management at least 14 days prior to the scheduled arrival (“Failed Reservation”), then all of the Planned Vacation days not properly canceled will be forfeited by Owner. Owners are not permitted to carry over Planned Vacations from one Vacation Year to the next.

“QUIMERA” - The fractional ownership real estate development located within the Ventanas de San Miguel resort community near San Miguel de Allende, Mexico.

“RESERVATION PRIORITY NUMBER” - A Reservation Priority Number is assigned to each Owner for each Vacation Year. This number is used by Management to allocate Planned Vacations for Owners when demand exceeds lodging supply and to allocate Space Available Vacations for Owners when demand exceeds lodging supply as described below. This Reservation Priority Number changes each year, based on the original Ownership number (assigned at closing), to equitably allocate Planned Vacations over the years.

Reservations Privileges continued “RESIDENCE” - A residential unit that is part of the Quimera fractional real estate offering. “ROTATING PRIORITY SYSTEMSM” - A Rotating Priority SystemSM has been established to ensure that Planned Vacation use of Residences by all Owners is equitable. The Rotating Priority SystemSM is used to determine reservation confirmations when the number of Planned Vacation reservation requests for a certain time period exceeds the number of Residences available during that time period.

“SLEEPING CAPACITY” - The maximum number of persons permitted to lodge in a Residence. The Sleeping Capacity of a Residence is the number of king or queen beds times two plus the number of twin beds and plus the number of sleeper sofas times two.

“SPACE AVAILABLE VACATIONS” - In addition to Planned Vacations, each Owner has unlimited access to and usage of Residences on a space available basis. Owners can occupy a Residence for periods up to seven days per reservation or can send Unaccompanied Guests to use confirmed Space Available Vacations. Each Owner can have only one Space Available Vacation reservation on the books at a time. If an Owner fails to check-in at the Quimera on the reserved date without notice to Management at least 10 days prior to scheduled check-in (“Failed Reservation”), the Owner will be prohibited from making another Space Available reservation for a period of 30 days from the scheduled check-out date of the Failed Reservation.

“UNACCOMPANIED GUEST” - Any guest who lodges in a Residence without an Owner during an Owner’s confirmed Planned Vacation or Space Available Vacation. An Owner requesting lodging for an Unaccompanied Guest must specify the Unaccompanied Guest’s name, home address, email address and telephone number in writing at least 14 days prior to the arrival date so that Management can send a confirmation notice to that Unaccompanied Guest. Unaccompanied Guests are required to pay all housekeeping fees and incidental charges upon checkout unless the sponsoring club Owner has arranged payment in advance. The sponsoring Owner is responsible for any unpaid charges incurred by their Unaccompanied Guests and is responsible for any damages to a Residence or furnishings caused by their Unaccompanied Guests. The number of persons lodged with an Unaccompanied Guest in a Residence cannot exceed the Sleeping Capacity of that Residence.

“VACATION YEAR” - The Quimera Vacation Year begins October 1st and ends September 30th.

Reservation Procedures PLANNED VACATIONS By June 15th of each year, Owners are sent a Planned Vacation reservation form which Owners use to request their Planned Vacation dates for the Residences during upcoming Vacation Year. Management will note the Reservation Priority Number for each Owner on the Planned Vacation reservation form. If the Owner does not receive the Planned Vacation reservation request form by July 1st, the Owner should immediately notify Management. Each Owner is allowed three Planned Vacations during the Vacation Year that begins October 1st and ends September 30th. Each Planned Vacation can be a maximum of seven (7) days with arrivals and departures occurring on or between Fridays, i.e., each seven-day period begins and ends on Friday. Exceptions to the arrival and departure times will be at the sole discretion of Management. By August 1st of each year, Owners must return their completed Planned Vacation reservation request forms to Management. It is the Owner’s responsibility to complete and return the Planned Vacation reservation request form by August 1st to preserve priority rights for the upcoming Vacation Year. Planned Vacation reservation request forms received after August 1st will be considered on a first-come, first-served basis after the Planned Vacation reservation request forms that were received in a timely manner have been processed. After August 1st, Management allocates the Planned Vacations in the following manner:

FIRST PLANNED VACATION - Owners are confirmed for a maximum of seven days based on their requests and their Reservation Priority Numbers. When demand for certain dates exceeds the available Residences, Owners with the LOWEST Reservation Priority Numbers will be confirmed.

SECOND PLANNED VACATION - After the First Planned Vacations are confirmed, Owners are confirmed for up to seven additional days. When demand for certain dates exceeds lodging supply, the Owners with the HIGHEST Reservation Priority Number will be confirmed.

THIRD PLANNED VACATION - After the Second Planned Vacations are confirmed for Owners, Owners are confirmed for up to seven additional days. When demand for certain dates exceeds the available Residences, Owners with the LOWEST Reservation Priority Numbers will be confirmed. By August 15th, written confirmation of the Planned Vacations is sent to each Owner. Additionally, a reservations calendar will be sent indicating which dates have been reserved by Owners. Owners that reserved less than three Planned Vacations will then have the opportunity to make additional Planned Vacations reservation requests after August 15th on a first-come, first-served basis. These reservations will be made for days shown to be available on the reservations calendar. After September 1st, Owners may make Space Available Reservations for the upcoming Vacation Year.

EXCHANGING PLANNED VACATIONS Owners may exchange their confirmed Planned Vacations or portions thereof with other Owners. After Planned Vacations for Owners have been confirmed, Owners will be provided a reservations calendar indicating the dates that have been reserved by which Owners. Management will use its best efforts to facilitate exchanges. Exchanges can also be made directly between owners. Written notice of an exchange must be provided to Management at least 14 days prior to the arrival date of the Owner using the earliest vacation involved in the exchange.

Reservation Summary There is no limit to the number of days Owners can lodge in a Quimera Residence, subject to the reservation procedures and availability. Owners can: u

Reserve 21 days of Planned Vacations prior to the start of the Vacation Year that begins October 1st.

u

Have one Space Available Vacation on the books at a time with no annual limit on the number of Space Available Vacations.

u

Can reserve more than one Residence during the time period.

u

Have as many as four vacation reservations on the books at one time.
