Asset Sale The listing information you are being provided is based on the sale of a property as an Asset Sale. Asset Sales are valued using the Replacement Value Method. The replacement value technique assumes a buyer pays the seller some amount based on the opportunity to benefit from the existing investment in the restaurant facility, leasehold improvements, equipment, lease, and location of the restaurant. In other words, the buyer will pay for the right to avoid spending time and money to build and comply with city regulations, impact fees, and delays in building a new restaurant. There are very rare cases, depending on market conditions whereby someone gets a premium for a location. When second generation restaurant space goes on the market because a concept is failing it becomes an asset sale. The seller ends up selling for pennies on the dollar based on the cost of his or her original build-out. Asset sales are valued using the replacement value method and only when the assets are available for sale without demonstrated earnings. The advertising on this type listing should state it is an asset sale only and that no books and records are available. You are purchasing a business for the furniture, fixtures, equipment, and location.

FAQ What is the value of an asset sale? Typically, a buyer can expect to pay between 20 and 30 cents on the dollar of the original build out. For example, if someone spent $250,000 to build out a restaurant, it may go on the market for around$50,000.

Why can't I see the books and records? An asset sale is not priced as a "going concern" since the new owner will be bringing their own menu, staff, brand and promotion. The only thing remaining from the old restaurant will be the "bones" of the kitchen and decor. Since your restaurant will bear very little resemblance to the former restaurant, the sales and expenses will be meaningless to you. Obviously, if they were highly profitable, they would be priced much higher

What shouldn't I just get a space that used to be a restaurant and start from scratch? What's the difference between that and an "asset sale?" A closed restaurant space is often referred to as "second generation" space. There are pros and cons to doing a start up in a second generation space. We will review both in the following pages.

Pros Simple Conversion Second generation space refers to locations that formerly served as restaurants. For this reason, it may convert back to that use easily.

Strong Competition for the Best Locations We Sell Restaurants has excellent relationships with the best landlords in the marketplace, so we are often aware of the prime locations before they even go on the market. These will re-lease very quickly, often before they are publicly advertised and to clients that are under contract with us for their exclusive site location. Those that are sitting on the market may be there for a reason.

Cons Limited Equipment For second generation space, often the only equipment remaining is the hood and sometimes the refrigeration units. If there's an in-ground grease trap, that would be remaining as well. However, all the rest of the equipment for the line must be purchased and you're looking at several thousand dollars (estimate $30,000 or more for used equipment).

No Front of House Furniture The front of the house is usually bare so you're going to need to buy tables, chairs, TV's, bar furniture, small wares. This can add up (estimate $10,000 - $15,000 or more).

No Sales There are zero sales when you start 100% from scratch and take over an empty second generation space. The first $100,000 in sales typically does not even cover your fixed expenses and can take a long time to build. An Asset Sale often has existing sales that you can leverage even with a name or concept change.

No Permits A second generation space that is closed is not permitted for operation. An asset sale has is operating is generally in compliance for all permits and this can be verified during the due diligence phase.

No Liquor License There is no liquor license in place for a closed restaurant space as the license applies only to going concerns. Depending on your location and the local laws, an asset sale can continue to operate and pour drinks while you transition from one owner to another. For a closed location there will be a delay of several weeks to several months depending on when you apply and the governing bodies.
