ABOUT FREEMASONS VICTORIA Freemasonry is a well-established and honourable fraternity. Its members share a strong set of values and principles which encourage them to provide social, benevolent, intellectual, and moral guidance for the benefit of each other, their communities, and their families. Through individual Lodges and groups, Freemasonry conducts several ceremonies or presentations to new and existing members which are designed to reinforce our values, stimulate thinking, and develop self-awareness. These Lodges, of which there are over 230 in Victoria, also provide fellowship, networking, counselling, mentoring, and tolerance with a philanthropic community orientation.

OUR THREE GREAT PRINCIPLES BROTHERLY LOVE Every true Freemason will show tolerance and respect for the opinions of others and behave with kindness and understanding to all people.

RELIEF Freemasons are taught to practise charity and to care not only for one another,but for the community through charitable giving and voluntary effort.

TRUTH Freemasonry strives for truth and requires high moral standards of its members.

Freemasons in Victoria have been active in the community for over 170 years and were instrumental in the development of Melbourne. They also established the Royal Freemasons Homes of Victoria in 1867 for palliative care of the elderly, and the Freemasons Hospital in 1937 to care for Freemason members and their families.

THE COUNCILS THE MASONIC GOVERNING COUNCIL The Masonic Governing Council was a caretaker advisory body operational from 1 January 2021 to 31 December 2021. The Council provided the leadership governance necessary for effective operation of the Fraternity during an interim period of change.

Appointments for FV’s new Masonic and Commercial Councils and the membership of Freemasons Holdings Ltd were announced in January 2021. This follows the extensive work of the Change Management Steering Committee headed by VWBro. Robert Brennand. The conclusive FV member vote of 15 September 2021 established the format of these interim bodies for 2022. More permanent structures of these bodies, beyond 2022, will be decided by members via a vote.

FREEMASONS HOLDINGS LTD Richard Elkington*, ​Grand Master Freemason for 41 years. An engineer who ended his career as General Manager in the Latrobe Valley Power Generation Sector; Past Chair of Gippsland Water; Past Director of East Gippsland Water and Gippsland Ports; Chairman of both Fuel Plus International and Regional Development Australia, Gippsland and a broadcaster on Gippsland FM.

Anthony Bucca, Deputy Grand Master BA.LLB. Legal practitioner since 1977. Freemason for 42 years. Member of Freemasons Foundation, Grand Lodge Ceremonial Officer since 1990, Member of former BoGP, PGReg, PSGW. Past roles include Board of Management and Director of Royal Freemasons, Chairman Royal Freemasons and Vice Chairman Royal Freemasons. Current Chair of FFRT.

Organiser of Victorian Freemasons Convention. Domenic is an electrician by trade, specialising in commercial kitchens and has degrees in Audio Engineering and IT. Strong representative of younger Freemasons.

John Rodrigo, Member PSGW. Freemason for 41 years. WM on four occasions, served in five Grand Lodge Ceremonial Teams. Past Grand Director of Ceremonies. Former management roles, finance industry. Former Investigator, Australian Taxation Office. Former Sergeant, Royal Australian Army.

Bruce Stockdale, Member PJGW. Freemason for 33 years. Past President BoGP. Former Chair, Royal Freemasons Ltd. (Freemasons Homes) Former Manager, Member Services and Acting Grand Secretary/CEO, Freemasons Victoria. Focus on growth through improving member experiences and community interaction. Professional experience as accountant, financial adviser, and company director.

Robert Woolley, Member PM. Freemason for 24 years. Past Lodge Secretary. Based in Kilmore and brings a country perspective (Captain, CFA). FREEMASONS VICTORIA STRATEGIC PLAN Following a vote of members in September 2021 to establish a Masonic Council and a Commercial Council, both Councils became operative in February 2022. Charters consistent with the objectives noted in the Strategic Plan have governed Council activities from inception. Composition of the Commercial Council to include a mix of suitably skilled and experienced Freemasons and independent non-executive members has also been achieved. Members have been advised of the activities of both Councils as part of Quarterly Communications. As noted in the 2021 Report, these implemented governance arrangements are operating concurrently with further consideration of longer term constitutional changes and continuing member consultation. A member survey regarding the organisation’s culture and behaviours was released to members in February 2022. Based on the responses, a cultural and behaviour strategy was formulated in conjunction with the Masonic Council. This strategy is based on the coordination of various activities impacting culture and behaviour at all levels of the organisation and with the expected outcomes of developing a cohesive Fraternity, understanding and living its values at home, at Lodge and in the community. A more engaged, participatory Brotherhood finding benefit through their Masonic advancement is recognised as key to member retention and an appealing proposition to future members.

PROPERTY PORTFOLIO THE PROPERTY COMMITTEE

THE FRAMEWORK FOR SUSTAINABILITY

The Works Volunteer Action Team continued to meet during the year, and in line with its strategic objectives, managed funding requests for maintenance and repairs as well as consider opportunities for development and growth of the property portfolio.

Details of the property portfolio, including present ownership structure, have been continually updated to support further strategic review.

Whilst much of the major building works that had been planned for the year were disrupted, a number of minor repair projects across the State were completed. In line with the establishment of the Commercial Council in early 2022, the Works VAT transitioned to a Property Committee reporting to this Council. The Committee is made up of volunteers having skills and experience in property valuations, architecture, real estate management, civil construction, large scale project management and town planning. As noted in the 2020-21 report, a principle agreement for the Maffra Neighbourhood house to relocate to the former Maffra Masonic Centre had been reached. During the 2021-22-year significant internal alterations to suit the community services offered by MNH were completed and funded through a Federal Government Grant, as well as corporate and community sponsorship. The MNH was operational by the end of the 2022 financial year and was officially opened on 6 August 2022. Freemasons Victoria was engaged throughout this project, keeping an active profile in Maffra.

The following objectives have been determined as the framework for such reviews: •

The organisation is better placed to ‘leverage its Masonic assets for Masonic purposes,’



The property portfolio effectively supports the entire membership of Freemasons Victoria,



Where possible, the property portfolio is financially self-sustaining.

To guide future planning, SEMZ Property Advisory were engaged during the year to evaluate the portfolio and develop a portfolio strategy framework capable of enabling achievement of Freemasons Victoria objectives and beyond.

MAFFRA MASONIC CENTRE Origins of Maffra Masonic Centre “With nine Foundation Members and sponsored by Gippsland Lodge No. 51, King Edward Lodge No. 189 was founded on the 28th day of January 1902. The Consecration of the Lodge was performed by RWBro. Dr Balls-Headley PDGM and Grand Officers of the United Grand Lodge of Victoria. The Consecration Ceremony took place in the then Maffra Mechanics Hall in the presence of 70 Freemasons most of whom were members of the sister Lodges of Sale, Rosedale, Walhalla, and Bairnsdale. The banquet for the occasion was held in the dining room of Wenlock’s Maffra Hotel. The Foundation Master of King Edward Lodge was WBro. DG Munro of Camberwell Lodge, the Foundation Senior Warden was Bro. JA Darbyshire of Gippsland Lodge, and the Foundation Junior Warden was Bro. BP Thompson of Fiery Creek Lodge. Other Officers were members of various constitutions, some English, some Scottish and some Australian. The title ‘King Edward’ was given to the Lodge, named after the ruling Monarch of England King Edward VII, whose portrait was presented to the Lodge by WBro. John Love in 1953 which now adorns the Eastern wall of the Lodge Temple. The first candidate initiated in King Edward Lodge was David M Clyne and for the first 21 years of its existence, the Lodge held its meetings in the supper room of the Maffra Mechanics Hall, and the South was held in the men’s cloak room and passageway. The Lodge furniture and regalia was set out just before each meeting and removed and stored away under the hall stage after each meeting. For the work entailed in these duties, the Lodge was paid 10 shillings and sixpence per month for several years. From its beginning and until September 1924, the Lodge meeting nights were fixed according to the phases of the moon – the Tuesday in each month nearest to the full moon was the formula used. In the year 1911, the total Installation attendance was 36 Brethren, in 1918 the attendance was 62, the banquet for which incurred expenses of 15 pounds 12 shillings and one penny inclusive of hall hire. By 1921 the Lodge had increased its membership to approximately 50 members and it was decided

that the time had arrived for the building of a Masonic Temple in Maffra. A committee of three was deputed to seek a suitable block of land and such was found to be available (the present site) at the price of 75 pounds. WBro. VH Cooper, a member of the committee, personally paid a deposit of 10 pounds to secure an option on the land pending the Lodge’s acceptance. Bro. SP Ashton, a local architect, prepared the plans for the temple which was built by Bro. Alec McAdam, a Maffra builder, for the tender price of 1,863 pounds and the temple was so constructed as to carry an upper story should such even be necessary. The temple project was financed by a loan of 2,000 pounds obtained from a local bank, the security for which was a Joint and Several Guarantee taken out by several Past Masters of the Lodge as personal guarantors – the liability of the guarantors was fully discharged in 1935. The new temple was opened and dedicated on 26 June 1923 by RWBro. E Coulsen PDGM, assisted by Grand Lodge Officers in the presence of 146 Freemasons. For the most part, the new Lodge furniture and equipment was donated by individual members of the Lodge, whose but memories are perpetuated within the Temple. WBro. Charles T Kerr was the first Master installed in the new temple and the initial Degree ceremony was a Third Degree, the candidates being Bro. AD Matthew and Bro. Quigley. The King Edward Lodge of Instruction was established in January 1925 its first Lecture Master was WBro. Dr PA Bona PSGD. In the early 1960s due to changing requirements, King Edward Lodge spent the equivalent of $7,000 on alterations and additions to the original temple building including recarpeting the temple. Although King Edward Lodge cannot yet be classified as an ancient Lodge when compared with the antiquity of Freemasonry, we, the present members of it, are nevertheless proud to mark the finest 75 years of continuous Masonic presence in the Maffra community.” WBro. Relocated Maffra Neighbourhood House back open for business ABC Gippsland, 7 Jun 2022, Rachael Lucas

After two years of closure due to COVID-19, Maffra has a dedicated new neighbourhood house, located opposite the Maffra Primary School. The relocation to the new premises was made possible after Freemasons of Victoria made one of their buildings available to the Maffra Neighbourhood House for the next 10 years. “We always needed a new place to move to,” Maffra Neighbourhood House manager Leahn Bulmer said. “We were situated in the hospital for about 12 years, which was an awesome place to start up our organisation. “But during COVID, we had to close for nearly two years as we had to comply with hospital COVID restrictions. Over that time, it became quite evident that we needed to expand and we needed more space.” After being made aware that the Freemasons building opposite the Maffra Primary School was vacant, Ms Bulmer began discussions with the Freemasons about the possibility of letting it be used by the local community. Two years later, the venue was upgraded with accessible features, and a new kitchen, office, and hall facilities after receiving $54,345 in federal government funding as part of the Australian government’s Building Better Regions Fund. The new venue can host a range of activities such as exercise classes, art and craft groups, first aid courses, board games, computer and technology classes, and theatre group rehearsals.

The Box Hill property was most affected by lack of interest in commercial leasing, particularly of office space. Leasing of the ground floor commercial area commenced in November 2021, subsequent to year end improved market positions has contributed to the letting of vacant spaces on upper levels.

Year ended 30 June 2022 The consolidated net result of the United Grand Lodge of Victoria for 2021-22 was an after-tax deficit of $2.388m. When referring to the consolidated result, we are including the activities of not only UGLV (the Chief Entity) but also a number of controlled and fullowned entities through which we operate. The net assets of the consolidated entity have decreased from $127.6m in 2021 to $125.8m in 2022, and no external debt is carried on the Balance Sheet. The Special Purpose Report is prepared in accordance with applicable Australian Accounting Standards and reviewed by both the Finance Committee and the Commercial Council before adoption and presentation to members. The Report is independently audited by Chartered Accountants, Deloitte Touché Tohmatsu. The Constitution requires that separate funds be kept within the books of Grand Lodge, which are: The General Fund Receives funds from members, earnings from investments and, through the Freemasons Victoria office, provides services to members and Lodges. The Building Fund Responsible for all Masonic buildings (except 288 Victoria Parade) and includes Eastern Freemasonry (Freemasons Inner East), Southern Freemasonry (Freemasons Bayside) and Freemasons Ringwood. An Addendum to the Consolidated Special Purpose Financial Report, showing the allocation of the 2021-22 result between the various activities that comprises the consolidated position, was circulated to members as part of the September 2022 Quarterly Communication. Key influences on the 2021-22 year’s operating results are highlighted below: A.

Investment portfolio earnings for the year were also negatively impacted by the global correction in equity markets in the second half of the financial year. The market valuation of the portfolio has improved subsequent to year end, however subject to regular variations.

These unfavourable adjustments were partially offset by recognition, as mutual income, of $1.050m receivable from Malset Pty Ltd.

D. Other year-end adjustments related to revaluations of property and a fair value loss on investments as noted in the consolidated statement of profit or loss and other comprehensive income, have affected equity through movements in reserves. Both these adjustments for property revaluations and fair value determinations are made in accordance with UGLV’s accounting policies (note 3 to the Financial Statements) and accounting standards and are non-cash transactions. Furthermore, adjustments to property values have been based on a combination of independent valuations and appraisals prior to year-end. These adjusted values have also been reviewed as part of the external audit scope. It should be noted that prior year’s results were also impacted by one off non-cash transactions, including property revaluations and fair value adjustments.

Looking Ahead An interim forecast has been adopted for 202223 that presumes the widespread return of members to Lodge and resumption of Masonic activities without restriction. Continuing review of this forecast is linked to further review of the Strategic Plan and related operating income and expenses. Improving the utilisation of the property portfolio and consequently property income is also a major focus of the Property Committee and the Commercial Council.
