MARRAKESH COMMUNITY ASSOCIATION (MCA) & MARRAKESH COUNTRY CLUB (MCC) Minutes of the General Open Session for the Annual Meeting of the Board of Directors April 24, 2022 Those present: Jim O’Donnell, President Eula Robertson, Vice President Alice Rosenblatt, Sec’y Tom Iino, Treasurer Byron Francis, Director

Also Present: John Sotomonte, Interim General Manager Lillian Ayotte, Interim Controller Donna Nordman, Executive Assistant Outgoing President Burton Johnson called the general open session of the Marrakesh Community Association to order at 1:00pm in the Garden Café. He confirmed quorum and thanked members for coming to our first in-person annual meeting since the Covid-19 pandemic. OPENING REMARKS: Outgoing Board President Burton Johnson recognized and thanked current Board members and outgoing members Karen Gibbons (Vice President) and Michael Boulware (Secretary & Golf Committee Co-Chair). He also acknowledged nonboard Chairs including Area Rep Chair Toni Gross, Branding Chair Debbie Covey, former Emergency Preparedness Chair Ed Kisling and new Chair, Alice Rosenblatt, Greens Committee Chair Tom Lockett, Marrakesh Life Chair Cullen Jowitt/Chotsie Blank, Social Chair Patrick Dragonette and Chair Lee Tatum of the Marrakesh Scholarship Committee. Next, all past presidents were asked to stand up and be recognized. Interim General Manager John Sotomonte was given the floor and introduced all the staff. BALLOT RESULTS: Executive Assistant Donna Nordman was asked to present the report from the Inspector of Elections, NLB Consulting and Election Services. Mr. Johnson recognized and welcomed newly elected Board members Tom Iino and Alice Rosenblatt. REPORTS President: Mr. Johnson reported the clubhouse renovation project is progressing well with no major setbacks. The GM Search Committee interviewed 3 candidates after receiving many resumes, with one candidate returning to speak with the entire Board. The well project was extremely successful – the well was pumped starting at 1500 gallons per minute then up to 2500 gallons per minute. Testing and flushing are the next steps, followed by getting an updated electrical panel for the pump. Treasurer: Lorri Pehoushek introduced her committee members and thanked them for their service. She thanked the members for their support of the painting assessment ballot and explained the reason behind the assessment structure per Davis-Stirling. Ms. Pehoushek added the assessment will begin on the May 31st billing with the option to pay either one lump sum of $3600, or six (6) installments of $600 each. A slide presentation followed showing YTD financials for MCA & MCC. She gave a recap of our current loans for the roads (approved in 2017), the land loan (approved in 2015) and the Clubhouse renovation loan (approved last year). Although many members paid for their portion of the assessment up front in full, additional funding is still required and we are waiting on the bank to reply with what our commitment is on the second part of the loan. General Manager: Interim General Manager John Sotomonte noted although it has been a very challenging year, we’ve had many accomplishments including the Clubhouse renovation project and we are now in the final stages of the well project. He thanked the members for all their patience during the past year and to the staff for their hard work. He noted numerous accomplishments made in each department and thanked the Board, committees and program chairs for their dedication and service. Mr. Sotomonte closed with his appreciation to outgoing Board members Michael Boulware (Sec’y) and Karen Gibbons (Vice President), and also to outgoing Board President Burton Johnson who will finish his term on the Board as a Director. OUTGOING PRESIDENT’S CLOSING COMMENTS: Outgoing Board President Burton Johnson announced committee reports will be posted on the Marrakesh website. He thanked Lynne Upton for the successful, elegant dining events during her years of service as Chair of the House & Social Committee. Outgoing Board members Karen Gibbons and Michael Boulware were called to the podium to accept their gifts of appreciation. He also expressed his gratitude to his wife Marilyn for her support. He noted the challenges of project issues with the Clubhouse renovation, the well, drainage issues with the putting green and croquet court, but grateful we overcame these challenges and very thankful to

see a new Clubhouse next fall. The new well will provide us with plenty of water once the summer heat is upon us and for years to come. We have had to deal with the loss of our General Manager and address some staff problems along the way, but we overcame that with a wonderful Interim GM and new staff members who are doing an incredible job. We are putting a process together in finding a new GM – we’ve had multiple candidates and conducted interviews. Thank you to the Clubhouse Renovation team led by Bryon Francis & Jim O’Donnell and the Design team led by Karen Gibbons. Mr. Johnson closed with introducing and welcoming the new Board President, Jim O’Donnell. INCOMING PRESIDENT’S COMMENTS: Board President Jim O’Donnell thanked Mr. Johnson for the kind words and introduced new Treasurer Tom Iino replacing Lorri Pehoushek. Ms. Pehoushek will continue to serve as Chair of the Finance Committee. Alice Rosenblatt was introduced as the new Board Secretary replacing Michael Boulware, and Eula Robertson was announced as the Board Vice President replacing Karen Gibbons. He recognized the leadership of Directors Byron Francis, Eula Robertson, Lorri Pehoushek and Burton Johnson who have all brought a wealth experience and knowledge to the Board by holding a Presidency position in the past years. He reflected on his earlier years of Marrakesh with his parents. President O’Donnell thanked outgoing Board members Michael Boulware and Karen Gibbons and acknowledged the service of former Director Shannon Peters and former Treasurer Tom Rowland. He shared his goal of hiring a topshelf General Manager to give us structure on our path to the future, write policies & procedures, train the bench for continuity. He invited members to share their expertise and encouraged committee involvement and stated the Board will support the staff. In closing, he honored his father Joseph O’Donnell who served as Marrakesh Board President in 1993 and looks forward to the challenges and opportunities that lie ahead. He presented a gift of appreciation to outgoing President Burton Johnson and his wife Marilyn. QUESTIONS FROM THE FLOOR: • Bill Young asked when the olive trees would be sprayed • Burke Francis asked for the amount of the 2nd loan for the Clubhouse renovation • Mary Randall asked for the status of the Clubhouse construction timeline • Lori Posner asked for an explanation of the painting process and why there would be another assessment for the Clubhouse renovation With no other business to conduct, the annual meeting of the membership was adjourned by President Jim O’Donnell at 2:13pm.
