PREAMBLE Whereas the Lord does give to certain of His saints particular visions of performing certain ministries and, whereas we the founders and organizers of this new Christian church and ministry convention and association, do believe that the Lord God Almighty has given us who are devoted to our Lord Jesus Christ a vision of joining together such Biblically faithful ministry leaders along with their respective congregations and various other works as ministries of faith in the Lord Jesus Christ, thereby forming an ecclesiastical work of Biblical Christian spiritual ministry, spiritual support, spiritual partnership and ecclesiastical leadership in order to further strengthen, encourage, educate, edify and enable these whom the Lord has directed and ordained in ministry service and leadership - - by forming a voluntary spiritual fellowship and congregation of servants and leaders in Christian Ministry as being led and empowered by God’s Holy Spirit, to provide a spiritual, ecclesiastical society for mutual benefit among those who (including such saints of God who support such a ministry as this is envisioned to be) are presently in ministry leadership and those who believe they are Divinely called and therefore desire to become ministry leaders; We the undersigned, being natural persons over eighteen years of age, do hereby set and join our hearts and hands in commitments and in unity of purpose and with the intent to form, establish and build up such a ministry, as an unincorporated association, do now hereby establish these Articles of Ministry as our constitution as herein follows:

Article 1:

NAME

This ministry shall be known as True Hope Ministries of America. {Romans 5:5; 15:4, 13; Galatians 5:5; Ephesians 1:18; Colossians 1:27; 2 Thessalonians 2:16} I.

Use of Name - - The use of the name, True Hope Ministries of America shall be used exclusively for the identification of this ministry and/or association or affiliation with this ministry. Individual churches and ministries may include the name of True Hope Ministries of America as identifying their connection to this ministry society and association.

II.

Ministry Seal - - A Ministry Seal containing the name of this ministry with an appropriate symbol shall be produced and used to verify as official those documents and publications issued by True Hope Ministries of America.

Article 2:

VISION

To help born again men and women who are serving and leading in Biblical Christian Ministry accomplish what God has asked them to do. We envision creating, establishing and building up an association (of born again individuals and groups of individuals who worship and serve the Lord Jesus Christ both privately and publicly in both general Biblical Christian ministry and in the leadership thereof) that serves to provide resources; instruction, education, edification and enablement; with the necessary mutual support and encouragement in performing our various responsibilities as children of the most High God in order to accomplish what we each believe that God has asked us to do, and allow Him to do, with our lives particularly in ministry service. {1 Thessalonians 4:1-9; 5:8-15; 2 Timothy 4:1-5; Hebrews 3:12-14; 10:23-25; 1 Peter 5:1-11; 2 Timothy 2:20-22}

Article 3:

PURPOSE

True Hope Ministries of America is organized for and shall operate exclusively for Biblical Christian ministry purposes, pursuing the performance of true and undefiled religion according to the Christian Holy Bible. {James 1:27; James 5:10-16; Ephesians 4:11-24; Ephesians 5:8-21; 2 Corinthians 6:14-18; 1 Peter 5:1-11; 1 John 2:14-29}

True Hope Ministries of America is a nonprofit ministry exclusively for religious, charitable, and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law), being formed and established to fulfill our ministry vision, in order to glorify God, by performing yet not limited to the following: Worshipping and performing spiritual, ecclesiastical Christian service with the many born again men and women within the Body of Christ upon the earth, especially those within or a part of this spiritual society and fellowship {Matthew 5:16; Romans 15:6}; And further by: Providing ecclesiastical oversight for established servants and leaders in ministry and established places of worship and Christian ministry service (and by helping to establish new places of worship and Christian ministry service) are conducting the work of Christian Biblical evangelism in this present world and promoting the message of the Gospel of Christ Jesus as mankind’s only true hope {1 Timothy 4:6-16; 1 Peter 5:1-3;};

And further by: Licensing and ordaining born again men and women to be leaders in the work of the ministry of the Lord Jesus Christ according to Biblical positions and qualifications {Titus 1:4-5; 1 Corinthians 7:17-24; 1 Timothy 4:14}; And further by: Providing Charters for such local churches and parachurch ministries who are worthy of ecclesiastical recognition and who desire to be a part of the True Hope Ministries of America {Romans 16:1-5; 1 Corinthians 1:1-10; 1 Corinthians 16:19; 2 Corinthians 1:1-2; Galatians 1:1-2; Philippians 4:15-23; Colossians 4:15; 1 Thessalonians 1:1; Philemon 1:1-3; 1 Peter 5:13-14};

And further by: Educating, edifying, enabling and equipping the saints to perform the work of the ministry and by forming and building up such facets, departments and extensions of this ministry that are necessary to successfully fulfill and complete the vision for this ministry. {Matthew 28:18-20; Colossians 3:16-17}

Article 5:

MISSION

True Hope Ministries of America shall, by all means now possible and as may become available endeavor to do the following: Increase the body of Christ on earth, His Church, in both quantity and quality through evangelism of lost souls, edification of the saints to become workers and leaders in the Gospel Ministry {Matthew 28:18-20; Ephesians 4:11-13}; Equip all members of this ministry to be effective witnesses for our Lord Jesus Christ {2 Timothy 2:20-21; Acts 1:8};

Exhort all saints everywhere to follow the directives of our Lord Jesus Christ’s in all areas of life in order to exemplify Him and the love of God that is available through Him to the peoples of this present world {1 Thessalonians 2:11-12; 4:1-2; 5:14-15; 1 Timothy 4:11-13; 2 Timothy 4:1-5};

To do, and assist in, the work of building up various individuals and groups of born again men and women of all ages to worship and perform ministry service {Matthew 28:18-20}; To assist leaders of ministry to accomplish what they believe God has requested to be done through their lives and by and in their works, and to build up and provide resources for the success of all who are in membership with True Hope Ministries of America. {1 Timothy 6:13-19}

Article 6:

STANDARDS OF AUTHORITY

True Hope Ministries of America recognizes The Lord God Almighty - - God the Father, God the Son – the Lord Jesus Christ, and the Holy Ghost - - as the One and Only Lord, God of all creation and therefore He alone is supreme and ultimate in all authority and so that we who are His people may know and follow His authority, over the course of time He has provided to us what we know as the Christian Holy Bible both Old and New Testaments which we recognize as the Divinely inspired message of God to mankind, especially those who are His people revealing and declaring His standards of holiness, righteousness and moral uprightness and therefore is the final and ultimate authority in all matters whether private or public, personal or social, spiritual and moral, ecclesiastical and secular. {Matthew 28:18; Psalm 118:89; Isaiah 40:8; John 12:48-50; 1 Corinthians 1:27-29; 1 Corinthians 2:9-16; Galatians 1:1-12; Ephesians 1:15-23; Colossians 1:16; Colossians 2:8-15; Philippians 2:5-11; 2 Timothy 3:16; 2 Peter 1:16-21; Hebrews 1:1-12}

Second to and based upon the Christian Holy Bible, True Hope Ministries of America shall conduct all activities in accordance with the established Christian Doctrines of True Hope Ministries of America.

Article 7:

STATEMENT OF FAITH

INTRODUCTION: True Hope Ministries of America holds the Christian Holy Bible to be the True “Word of God”, His message revealing Himself to mankind for the redemption and eternal life for all humans who will accept what God offers; and the Bible is the only basis for doctrine and that all true theology and doctrine rests in Holy Scripture. We believe that the Christian Holy Bible: 1) Sets forth what is correct and right for all manner of living; 2) Sets forth the identification and definitions of sin, declares the penalty for the guilt of human sin and the remedy for that guilt being found only in the Lord Jesus Christ; 3) Sets forth the moral and spiritual life in Christ Jesus resulting from salvation and that the basis for a life in fellowship with God as our Heavenly Father is that a Christian must reject outright - any personal involvement or participation with any conduct that is displeasing to God while embracing everything made known through the Bible to be pleasing to God which is accomplished by faith in Christ Jesus as Lord. All persons desiring to become members of True Hope Ministries of America shall be furnished with, and must know, understand and agree with our “General Statement of Faith”, the tenets of which are hereby set forth:

What We Believe About: THE BIBLE: We believe that the Christian Holy Bible, consisting of the 66 books of the Old and New Testaments, is inerrant in the various original manuscripts which were delivered to humanity through God’s inspiration of certain of His servants divinely selected to be the human writers of God’s message revealing Himself, His Laws, His Love and His Will to mankind; especially to those who are His people by the work of His grace through faith. {2 Timothy 3:16-17; 2 Peter 1:20-21; 1 Corinthians 10:1-11}

We further believe the Bible is sufficient for knowing God and knowing His will that is necessary for both the present and everlasting welfare of mankind; the Bible is infallible serving as the supreme and final authority for all matters of life, both in Christian faith and conduct as well as the issues of secular life. {2 Timothy 3:16,17; 2 Peter 1:21; 1 Corinthians 2:13; Deuteronomy 29:29; 2 Timothy 3:15; John 10:35}

GOD: We believe that there is but one True and living God, eternal and self-existing and pre-existing all that is or can be known. In essence God is Spiritual and personal and is infinitely perfect in all of His attributes and has chosen to express and reveal Himself in three persons – Father, Son and Holy Spirit. God is the creator and sustainer of all things in the universe both seen and unseen and without God nothing can or does exist. {1 Corinthians 8:4; John 4:24; 5:26; Genesis 1:1; Colossians 1:16,17; Matthew 28:19}

JESUS CHRIST: We believe that Jesus Christ is truly God taking on the life and body of a man born to a woman. He is fully divine and also fully human. He preexisted eternally with the Father, was conceived by the Holy Spirit and born of the virgin Mary, lived a perfect life and died by crucifixion, in order to pay the penalty for the sins of which all humans are guilty. We believe that He arose bodily from being dead in the grave thus conquering death; that He ascended to heaven where He is presently High Priest and Advocate for His people, those who have accepted His offer of salvation and everlasting life by electing Jesus Christ as their Lord.

True Hope Ministries of America Therefore Jesus Christ is King of kings and Lord of lords and is the only Savior from sin and for everlasting eternal life, and that He will return personally and bodily to the earth at the close of this present age. {Philippians 2:5-11; John 1:1; Matthew 1:23-25; 1 Peter 2:22; 1 Corinthians 15:3; 1 Timothy 2:6; 1 Corinthians 15:20; Hebrews 4:14-16; John 14:3; Acts 4:12}

HOLY SPIRIT: We believe that the Holy Spirit is the fully Divine third personal expression of God and how today, God divinely and personally interacts with those people who by faith have been born again thus becoming the children of God. We believe that Holy Spirit was sent from God the Father by God the Son in order to: Convict the world of sin and of a person’s individual need for redemption from sin by faith in Jesus Christ; to regenerate and indwell those who trust in Christ as Lord; to baptize into the Body of Christ those who are born again; to seal all those who are God’s people for the final day of redemption and in this present world guiding them into truth, filling and enabling them for a life of holiness, righteousness and victory empowering them for witness and ministry service. We believe that He gives spiritual gifts to and through believers for the proper functioning of the Body of Christ, which is the Church. {Acts 5:3,4; John 16:7-14; 3:5-8; 1 Corinthians 2:9-12; 3:16; 12:3-13,28-31; Ephesians 1:13,14; Acts 1:8}

SALVATION: We believe that a person is saved through being born again through faith in Christ Jesus with said faith resulting from hearing the Word of God and being enabled by God's grace alone, with that salvation only made possible through the shed blood of Christ, whereby He died as the sacrifice for mankind as prophesied throughout the Old Testament and confirmed through the Resurrection of Jesus Christ from death in the grave. Salvation is offered to all people but must be accepted by individuals becoming effective when a person, by faith, acknowledges and calls upon Jesus Christ as Lord for his/her salvation. The benefits of this salvation include the forgiveness of sins; reconciliation with God as our Father; the impartation of new life and all the privileges resulting from this relationship with God. The assurance of salvation as a present possession is the privilege of every believer in Christ. {Ephesians 2:8,9; 1 Corinthians 15:3; Acts 16:31; Romans 10:9; Acts 3:19; Romans 3:28; John 3:16; John 1:12; 10:28; Philippians 1:6}

HEAVEN: We believe that Heaven is a literal, real place which is the dwelling place of God, and of both angelic beings and the spirits of those humans who by faith in Christ Jesus have been born again during their earthly lives a state of existence far beyond anything man can experience in the physical world. Heaven holds the throne of God and of Christ Jesus the Lord from which He presently rules and reigns over the Church and the kingdoms of God and of Christ and is the everlasting destination of the saints that is presently being prepared for our dwelling place by the Lord’s own work. {Nehemiah 9:6; Matthew 18:10; John 14:1-3; 2 Corinthians 5:1-2; Hebrews 12:22-23; 1 Peter 1:3-5}

THE CHRISTIAN LIFE: We believe that God expects every believer to live a life of obedience, in which every area of his life is conducted according to the directives of the Lord Jesus Christ and is evidenced by the fruit of the Spirit becoming increasingly manifest in his/her life. Every born again child of God should experience a life that is growing into conformity with the image of Jesus Christ as God’s child. This life is characterized by self-giving love for God and for others, especially others who are born again children of God. The life and character of Christ, which grows through the Holy Spirit, is noticeably distinct from the life of the world. Page 7 of 21

True Hope Ministries of America Any believer who resists the Holy Spirit’s work of grace and sanctification thus willfully failing to grow in obedience is chastened as a work of eternal love by our Heavenly Father so that he/she might be partakers of his holiness. {John 14:21; 2 Corinthians 10:4,5; Galatians 5:22,23; 2 Corinthians 3:18; Matthew 22:37-40; 1 John 2:15-17; Hebrews 12:5-14}

THE FAMILY: We believe that the family is an institution established by God to be the means of human expansion and growth, being the core of the social structure for all of humanity with the family bearing the primary authority over, and responsibility for, the well being, upbringing and education of children; that fathers are men in the marriage which bear the responsibility for the spiritual direction of the family and mothers are women in the marriage which bear the responsibility for the spiritual guidance of the children, following the father’s direction and leadership. {Genesis 1:28; Matthew 19:4-7; 12:50; Exodus 20:12; Deuteronomy 11:18-19; Ephesians 5:21-33; Ephesians 6:1-4; Colossians 3:18-21; 1 Timothy 5:11-14; Titus 2:3-5; 1 Peter 3:1-6; Hebrews 12:5-11}

THE CHURCH: We believe that the Church of Jesus Christ is His representative body of God's redeemed (born again) people upon the earth over which He is the head; that the total, universal Church is His Bride, whom He loves infinitely, and His temple, in which He dwells and through which He works with mankind on the earth. This universal Body of Christ is visibly expressed in local assemblies, whose purpose it is to glorify God through: Worship, fellowship, ministry service, giving and receiving instruction in God’s Word, observing the ordinances of Christ and training the saints for service upon the earth for delivering His Gospel throughout the world. The supreme task in the mission of the Church is to make disciples for Christ of and among the peoples of all the nations that become born again through the proclamation and teaching of the Gospel. The Church is also responsible to demonstrate the love and compassion of Christ, through word and deed, among His disciples (born again followers) in the midst of, and as a witness to, a world alienated from God. {1 Peter 2:9,10; Ephesians 1:22,23; 5:25-27; 2:19-22; 1 Thessalonians 2:14; Ephesians 3:6-10; Acts 2:42; Ephesians 4:11-13; Hebrews 10:25; Matthew 28:18-20; 26:26-29; 1 John 4:17}

CHRIST’S RETURN & JUDGMENT: We believe in the imminent return of Christ to take His people, both resurrecting those who are physically deceased and those living, to be with Him as He judges and rules the earth in righteousness. We believe in the resurrection of the body for both believers and unbelievers with believers going to be with Christ in conscious blessedness immediately after death, having escaped the condemnation of his sins through the death of Christ and surviving death through the power of Christ’s resurrection. The born again believer will have everlasting life surpassing life on this earth in the immediate presence of God; at some point being judged according to our works as His people, receiving rewards for those works approved by God or, to suffer loss for those works disapproved. The unredeemed person who has rejected God’s offer of salvation through faith in the Lord Jesus Christ must face God as the eternal and holy Judge, who will sentence the unredeemed for choosing to reject God’s offer of salvation through faith in the Lord Jesus Christ thus remaining in his sin-guilty state and will experience the punishment of eternal separation in hell and ultimately in the lake of fire away from the joyful presence of God. {John 14:3; 1 Thessalonians 4:16,17; Revelation 11:15; 1 Corinthians 15:20,23; Philippians 1:23; Romans 8:1; 2 Corinthians 5:10; Revelation 20:11-21:5; Romans 2:11}

True Hope Ministries of America THE DEVIL: We believe in the personality and depraved character of Satan, who is the great enemy of God and man. We believe that the devil, along with the company of fallen angels - demonic beings - serving him, works out his evil plans through the ungodly world system, limited only by the sovereign rule of God. We believe that the devil was initially defeated by Jesus Christ in the wilderness temptation and judged by Christ at the cross with the final execution of that judgment being be forever accomplished when the devil is vanquished by meeting his doom in the lake of fire, where he will remain forever. {Matthew 4:3-11; Genesis 3:1; John 8:44; Revelation 12:9,10; 2 Corinthians 4:4; 1 John 5:19; Job 1:6-12; 1 John 3:8; Revelation 20:10}

HELL & LAKE OF FIRE: We believe in the existence of places of everlasting separation from God’s loving presence to which all spiritual beings that have chosen rejection of and/or rebellion against God as Supreme and those human beings that have rejected God’s offer of redemption and reconciliation through the shed blood of Christ Jesus. We believe that God does not desire to send any human soul to Hell or to the Lake of Fire but that this eternal sentence of punishment is the default choice of the human soul rejecting the Gospel of salvation. We believe that neither, Hell or the Lake of Fire is the realm, domain or kingdom of the devil nor is the devil the ruler of either Hell or of the Lake of Fire but rather he shall be the primary prisoner, the chief occupant of the Lake of Fire which God prepared for the devil and his angels. {Mark 9:42-48; Luke 12:5; Luke 16:19-31; 2 Peter 2:4; Revelation 1:18; 20:13-14}

Article 8:

ORGANIZATION

True Hope Ministries of America shall be denominationally open, neither opposing nor favoring any particular denomination or fellowship that truly believes in the resurrected person of Jesus Christ as The Lord and that is loyal to the Christian Holy Bible, holding in common with us the essential and cardinal doctrines of Biblical Christian Faith. I. Members: True Hope Ministries of America shall have members. A. Guidelines - - The process for becoming a General or Ministry Member along with the qualifications and eligibility requirements shall be fixed by the Ministry Guidelines and Bylaws of True Hope Ministries of America. II. Members: Membership shall be of two types: A. General Members - - All born again individuals desiring to be in fellowship with, participate in and provide support for, True Hope Ministries of America shall be considered a General Member. Being a General Member in good standing shall be required for any individual to be considered for selection and appointment to any position of administrative leadership, or to become a candidate or applicant for receiving ministry credentials. B. Ministry Members - - Born again individuals receiving ministry credentials of either License to Minister or as an Ordained Minister which are issued by True Hope Ministries of America shall be considered a Ministry Member of True Hope Ministries of America. Positions of Ministry Leadership within and for True Hope Ministries of America must be a Ministry Member in good standing. Page 9 of 21

True Hope Ministries of America III. Leadership & Government - - The activities and affairs of True Hope Ministries of America shall be managed by governing bodies of specified Ministry and Business Directors herein established. A. Guidelines - - The duties and number of the governing bodies and directors thereof shall be fixed by the Ministry Guidelines/Bylaws of this ministry, but there may not be less than three individuals serving as directors.

Article 9: MINISTRY DEPARTMENTS At such times that are deemed necessary or proper or expedient to do so for the further accomplishing of our Vision, Purposes and Ministry Mission, ministry departments and or extensions of True Hope Ministries of America may be created. Such ministry departments or extensions shall not be created or established to be separate or independent entities and shall not function autonomously but shall remain parts of, and function under the direct supervision and authority of, True Hope Ministries of America with certain Ministry Directors or Ministry Leaders being given oversight of such ministry components whether called departments or extensions. All such extensions as described above shall, in all documentation presenting the same, be clearly identified as “A Component of True Hope Ministries of America”.

Article 10: GOVERNANCE I.

Ecclesiastical: True Hope Ministries of America shall operate according the principles directed in the Christian Holy Bible and according to the Christian Doctrines of True Hope Ministries of America; according to these “Articles of Ministry and Constitution” and the directives set forth in the “Ministry Guidelines & Bylaws” for the successful formulation and execution of our various activities and ecclesiastical responsibilities.

II.

Secular: Because we are an integral part of the Christian Religion, we are, by the provisions of the Constitution of the United States of America precluded and protected from secular and/or state governmental establishment, licensure or restriction. A. True Hope Ministries of America shall not be concerned with nor seek governmental covering, licensure or approval; neither shall we seek governmental financial support or benefit for the existence of any aspect or component of ministry that we may establish.

III.

Accountability & Covering: Spiritual, moral and social accountability is Biblically required of each saint and minister within the Body of Christ so that no saint, minister, ministry, church body or ministry association or fellowship is an entity unto itself, but rather a greater or lesser microcosm of, and connected to, the universal Body of Christ, therefore: A. Every True Hope Church, Ministry, Ministry Member or General Member must be committed to spiritual accountability and for the stewardship of the resources God places in our care and for our use B. Should it prove necessary or wise for this ministry to become members of, or subscribe to, an ecclesiastical body for benefits to this ministry as a whole, True Hope Ministries of America shall by duly approved resolution (along with any further existing guidelines by the Bylaws of this ministry) select an appropriate ministry fellowship, organization or association for such spiritual, educational, financial and/or disciplinary accountability and/or oversight. Article 11: STEWARDSHIP Whereas the Lord provides all that is needed by His people, both servants and leaders in His ministry, and whereas the Lord requires of His people proper management of the materials, finances and resources, True Hope Ministries of America shall exercise due diligence to be found as good stewards of these resources which the Lord places in our charge. {Matthew 25:14-30; 1 Peter 4:10; Galatians 6:10} I.

Fiscal Management - - Every officer and director of True Hope Ministries of America shall exercise due diligence to insure that the financial holdings of this ministry are managed with the highest standards of integrity and ethics which each individual is capable of performing. A. Fiscal Integrity - - True Hope Ministries of America shall avoid becoming entangled with secular commitments and obligations and shall not form agreements that would financially obligate this ministry with or on behalf of any General Member or Ministry Member, with any congregation or ministry work duly chartered or recognized by this ministry. {Proverbs 6:1-5} B. Guidelines - - The requirements and practices for the stewardship of ministry resources shall be established and set forth in the Ministry Guidelines & Bylaws and the Policy & Procedures Manual of True Hope Ministries of America.

II.

Stewards - - At such time that True Hope Ministries of America shall come into possession of real estate and other tangible property of significant value, qualified individuals of the General Membership shall be selected and appointed to act as Ministry Stewards which shall have the responsibilities of holding and maintaining such property in trust for the benefit of True Hope Ministries of America. A. Guidelines - - The qualifications, responsibilities, duties and procedures for the Ministry Stewards shall be established and set forth in the Ministry Guidelines & Bylaws and the Policy & Procedures Manual of True Hope Ministries of America.

Article 12: LEADERSHIP AND OPERATIONAL DOCUMENTS For the overall management of the affairs of True Hope Ministries of America, there shall be no less than three leadership officers (known as directors or officers) who shall be in the positions of: 1) Senior Ministry Leader/President; 2) Executive Ministry Leader/Vice President; 3) Ministry Secretary. The Founder, Co-founder and Organizers of True Hope Ministries of America shall serve as the initial leadership officers, two of which must hold valid, recognized credentials as ordained ministry leaders in order to serve as Senior Ministry Leader/President and Executive Ministry Leader/Vice President. I.

The General Governing Council The overall affairs of the ministry shall be administered by a General Governing Council which shall consist of two units as set forth herein A. Mutual Accountability - - Each unit shall be mutually accountable to the other in order to assure the best possible performance of the ministry and shall be jointly responsible to tend the ecclesiastical and business affairs of True Hope Ministries of America with separate authority and powers as set forth herein.

True Hope Ministries of America 1. The Ministry Directors’ Council shall be accountable to the Administrative Business Council for the stewardship of material and financial resources in the performance of their responsibilities, yet the Administrative Business Council may only advise the Ministry Directors’ Council as to the availability of material resources, appropriating such resources, and may not otherwise disallow the activities of the Ministry Directors’ Council. 2. The Administrative Business Council shall be accountable to the Ministry Directors’ Council for the spiritual principles and considerations in determining and administrating the ministry’s financial and business decisions, yet the Body of Ministry Directors shall not be empowered to set aside or repeal the decisions made by the Administrative Business Council. 3. Conflicts & Compliance - - Issues of compliance with either the spiritual/ecclesiastical principles or legal/business issues noticed by one Council in the activities of the other Council shall be brought to the attention of the Senior and Executive Ministry Leaders who shall be charged with bringing each Council into compliance with the respective area of concern. a. The process of regaining compliance shall be set forth in the Ministry Guidelines & Bylaws of the ministry. B. Leadership Meetings - - Meetings of the Councils shall be at the call of the Senior Ministry Leader/President, not less than once per year. II.

Administrative Business Council shall have general oversight of all activities of True Hope Ministries of America and shall be empowered to determine and authorize by resolution the business and financial practices of the ministry with this power being exercised in accordance with stewardship principles given in the Christian Holy Bible, the Christian Doctrines of True Hope Ministries of America and as may be set forth in the Bylaws and Ministry Guidelines. A. The Administrative Business Council Positions: Business Leadership positions may be filled by General Members in good standing regardless of ministry credentials with the exceptions of the Senior Ministry Director/President and Vice President both of whom must be ordained. B. Founders: The Founder Co-Founder and Organizers of True Hope Ministries of America shall be, so long as they are in good standing, voting members of the Administrative Business Council and the Founder and Co-founders that are duly ordained may hold additional positions of Ministry Directors, according to their call in ministry. C. Interim Authority: Until such time as the Ministry Membership offers sufficient qualified, eligible individuals to be selected and appointed to the primary directors’ positions, the Administrative Business Council shall ensure that the ecclesiastical affairs are performed as needed. A. Senior Ministry Director/President: Shall preside over both Ministry Directors and Business Leadership bodies. 1. The Founder of True Hope Ministries of America shall be the first Senior Ministry Director and shall serve as stated above.

Veto Power - - Senior Ministry Director shall have the power of veto shall have the power of veto over both leadership bodies, with such veto power to be defined by the Bylaws and Ministry Guidelines. a. Exception to Veto Power: Senior Ministry Leader shall have the power of veto over all matters, issues, resolutions or other actions brought to vote by either governing body of this ministry except for issues of ecclesiastical discipline. 3. Succession - - Senior Ministry Director shall be succeeded by the Executive Ministry Leader. B. Executive Ministry Leader/Vice President: Shall preside over the Business Leadership Body in the absence of or at the request of the Senior Ministry Leader. 1. The Co-Founder of True Hope Ministries of America shall be the first Executive Ministry Director and shall serve as stated above.

2. The Executive Ministry Leader/Vice President must be an ordained minister in order to fill the position of the Senior Ministry Leader/President in the event of succession. Secretary: Shall be a General Member or Ministry Member of True Hope Ministries of America. Secretary shall be responsible for maintaining the minutes of all meetings of the Business Leadership Body and to maintain proper and necessary files for both the business affairs and ministry activities of True Hope Ministries of America. Treasurer: Shall be a General Member or Ministry Member of True Hope Ministries of America. Treasurer shall be responsible for all financial records of the ministry and to assure compliance of all financial requirements of True Hope Ministries of America. Secretary/Treasurer: The two positions of Secretary and Treasurer may be combined and held by a single individual. (Shall be a General Member or Ministry Member of True Hope Ministries of America.) General Voting Members: Shall be Organizers and/or General Members in good standing and shall be responsible to attend business meetings, voting on resolutions and other matters that affect the business and financial affairs of the ministry. Voting members shall have an equal voice during business meetings. Selection & Appointment: Procedures and guidelines for selection of the above positions shall be set forth in the Ministry Guidelines and Bylaws of True Hope Ministries of America. Ministry Directors’ Council shall have spiritual and ecclesiastical oversight of all activities of True Hope Ministries of America and shall be empowered to determine and authorize by resolution the ecclesiastical, spiritual and social functions and responsibilities of the ministry being accountable to the Administrative Business Council for financial stewardship considerations related to the decisions and activities set in to practice, yet the Administrative Business Council has no authority to veto, repeal or otherwise set aside any spiritual or ministry decision made by the Body of Ministry Directors. A. Ministry Directors shall be duly ordained or licensed to minister according to the position for which appointment is considered and made. 1. Ministry Directors shall be responsible for the correct and successful performance of the various works of ministry, approving ministry credentials and church charters or letters of recognition and assisting the member ministers and congregations or ministry works in the various areas of ministry activity.

The Body of Ministry Directors shall be comprised of the Senior Ministry Director, the Executive Ministry Director and one “Primary Ministry Director” for each of the Five Ministry Gifts (Apostolic, Prophetic, Evangelistic, Pastoral and Teaching ministries); and such General and/or Special Ministry Directors as may be needed for True Hope Ministries of America to accomplish our vision, purpose and mission. a. The Ministry Guidelines & Bylaws of the ministry shall set forth the specific details of the Ministry Director’s Council. B. Senior Ministry Director: Shall preside over both Ministry Directors and Administrative Business Councils. 1. The first Senior Ministry Director shall be the Founder of True Hope Ministries of America and shall serve as stated above. 2. Senior Ministry Director shall have the power of veto both governing bodies, with use of such veto power to be defined by the Bylaws and Ministry Guidelines C. Executive Ministry Director: Shall serve as Vice President over both Ministry Directors and Administrative Business Councils and shall succeed the Senior Ministry Director in any event causing the office of Senior Ministry Leader to become vacant. 1. The first Executive Ministry Director shall be the Co-founder of True Hope Ministries of America serving as stated herein and as set forth in the Ministry Guidelines & Bylaws. D. Primary Ministry Directors: Each Primary Ministry Director must be an ordained minister and a Ministry Member of True Hope Ministries of America. The basis of selection and appointment to along with the responsibilities and duties of each Primary Ministry Director shall be set forth in the Ministry Guidelines & Bylaws of this ministry. E. Special Ministry Directors: Each Special Ministry Director must be a Ministry Member being at minimum licensed to minister and shall be selected according to the needs of the ministry and according to the practices set forth by the Bylaws and Ministry Guidelines. IV.

Ministry Guidelines & Bylaws - - The Senior and Executive Ministry Leaders, in concerted effort with the other Organizers, Officers and Directors in governing and leadership positions of this ministry, shall as an essential and primary order of business: Establish, maintain - making such revisions as may become necessary - and publish annually the Ministry Guidelines & Bylaws of True Hope Ministries of America. A. Authority - - The Ministry Guidelines & Bylaws shall be based upon the directives set forth in the Christian Holy Bible and shall be created according to the Articles of Ministry & Constitution of True Hope Ministries of America herein set forth and shall be the primary operational document for the performance of this ministry subordinate to these Articles of Ministry and the Christian Holy Bible and the Christian Doctrines of True Hope Ministries of America. B. Distribution - - The Ministry Guidelines & Bylaws shall be published and distributed to the membership on an annual basis and shall be included in the credentials application package to candidates for new membership who are making application for the purpose of becoming a Ministry Member.

Christian Doctrines of True Hope Ministries of America - - The Senior and Executive Ministry Leaders, in concerted effort with the other officers and directors in governing and leadership positions of this ministry, shall as an essential and primary order of business: Establish, maintain making such revisions as may become necessary - and publish “Christian Doctrines of True Hope Ministries of America”. A. Authority - - “Christian Doctrines of True Hope Ministries of America” shall hold authority second only to the Christian Holy Bible for the purposes of defining and directing the beliefs upon which this ministry exists and performs our vision, purpose, mission and message. 1. Christian Doctrines of True Hope Ministries of America shall be based upon the teachings and directives set forth in the Christian Holy Bible and shall be free from denominational bias or religious traditions of men that are not established in the Christian Holy Bible. 2. The organizational and operational documents of the ministry shall be, or revised to come into, compliance with the Christian Doctrines of True Hope Ministries of America. 3. Members and Chartered congregations and parachurch ministries shall be required to be in general agreement with the Christian Doctrines of True Hope Ministries of America in order to be approved for membership, credentials of ministry or charters of ministry. B. Distribution - - The Christian Doctrines of True Hope Ministries of America shall be distributed to each member and chartered ministry upon acceptance of membership and/or issuance of credentials of ministry and once each year that revisions or additions have been made to the Christian Doctrines of True Hope Ministries of America.

Article 13: ECCLESIASTICAL AUTHORITY As the Lord, through His first Apostles proclaimed and set forth instructions and examples directing that those who labor doing the work of His ministry are to be known and be made known among the communities of born again saints of the Lord Jesus Christ {1 Corinthians 16:3-20; Philippians 2:19-22; 1 Thessalonians 5:11-13}, True Hope Ministries of America shall have, maintain and exercise the ecclesiastical authority to grant ministry credentials as follows: I.

License to Minister: The Senior and Executive Ministry Leaders, along with any Ministry Directors as they may appoint to assist in making proper determination, shall (by either due process or transfer of existing recognized credentials) grant a License to Minister to such born again individuals who are determined to be divinely directed and qualified to be so recognized. A. Any further requirements, along with the due process to issue a License to Minister to an individual who has never before been granted such license, shall be set forth in the Ministry Guidelines and Bylaws of True Hope Ministries of America.

II.

Ordain in Ministry: The Senior and Executive Ministry Leaders, along with any Ministry Directors as they may appoint to assist in making proper determination, shall (by either due process or transfer of existing recognized credentials) Ordain in Ministry Service and Leadership such born again individuals who are determined to be divinely directed and Biblically qualified to be so recognized.

True Hope Ministries of America A. Any further requirements, along with the due process to Ordain in Ministry an individual who has never before been so ordained, shall be set forth in the Ministry Guidelines and Bylaws of True Hope Ministries of America. III.

Grant certificates of charters to local congregations: To establish an ecclesiastical connection with and to validate the existence of legitimate groups of born again persons who have formed congregations for the purpose of Biblical Christian worship and Biblical Christian ministry service to the members of the Body of Christ Jesus and to evangelize the secular communities in which they are located, the Senior and Executive Ministry Leaders, along with any Ministry Directors as they may appoint to assist in making proper determination, shall issue Certificates of Charter to such groups who are Biblically qualified to be so recognized. A. Guidelines: Such letters and certificates of charters shall be issued according to the standards based on the Christian Holy Bible, the Christian Doctrines of True Hope Ministries of America and the Ministry Guidelines of this ministry.

IV.

Grant certificates of charters to parachurch ministries: To establish an ecclesiastical connection with and to validate the existence of legitimate groups of born again persons who have formed congregations for the purpose of Biblical Christian worship and Biblical Christian ministry service to the members of the Body of Christ Jesus and to evangelize the secular communities in which they are located, the Senior and Executive Ministry Leaders, along with any Ministry Directors as they may appoint to assist in making proper determination, shall issue Certificates of Charter to such groups who are Biblically qualified to be so recognized. A. Such letters and certificates of charters shall be issued according to the standards based on the Christian Holy Bible, the Christian Doctrines of True Hope Ministries of America and the Ministry Guidelines of this ministry.

Article 14: SECULAR SOCIAL ACTIVITIES True Hope Ministries of America shall in all ways that are not contrary to God’s Laws and Will and/or the spiritual principles set forth in the Christian Holy Bible that govern our coexistence with this present world’s society and culture, abide by the laws of our secular governments, provided that such compliance is not contrary to the standards and principles of righteousness and morality set forth in the Christian Holy Bible. True Hope Ministries of America are not and shall not be an agency of the secular governments of this world’s communities nor shall we agree to act in any way that would in fact be acting as, or fulfilling the duties and responsibilities of, a secular governmental agency. True Hope Ministries of America shall, when necessary, peaceably abstain from compliance with any law that is contradictory to or violates God’s Laws and His standards of morality, decency and righteousness and shall insofar as it is ever possible endeavor to redress any and all grievances arising from such laws being enacted and/or imposed upon the born again people of God whether individuals or groups be they members of this ministry or any other Christian sect, congregation, parachurch ministry, Christian fellowship, ministers’ association or denomination within the greater Body of Christ.

True Hope Ministries of America True Hope Ministries of America does not and shall not in any way relinquish the freedom to publically speak out against any public or governmental official, elected or appointed, who act in ways - or proposes acts, ordinances or legislation - that are harmful to the spiritual, moral, emotional and earthly well being of people; or who act in ways - or proposes acts - that detract from the freedoms of expression of religion of Christian people or groups. True Hope Ministries of America, being concerned for the spiritual, moral, physical and emotional well being of all people, shall, when it becomes necessary due to governmental proposal or action, speak out in opposition to any ordinance or law that would cause harm in these ways to any individual or to the people of God regardless of denomination; or against any governmental impingement restricting the freedom of expression or conduct of Christian beliefs and/or Biblical directives. Therefore, True Hope Ministries of America shall openly support specific issues of morality and decency as may be addressed or defined in the Christian Holy Bible, endorsing, promoting and supporting any Christian Action Group that is acting in defense of Biblical principles, directives or opposing any issue that is contrary to the plainly understood directives of the Bible. True Hope Ministries of America shall not at any time or in any respect seek special treatment from any level of government, which in any wise would or potentially could grant or allow the secular government to usurp God’s authority over this ministry or any member or any ministry work recognized or authorized by this ministry that enforce the violation or compromise of the known directives, principles and standards of the Lord God as stated in the Christian Holy Bible.

Article 15: PROHIBITED ACTIVITIES I.

True Hope Ministries of America does not and shall not exist for financial or material profit, and the revenues or material proceeds shall not inure to the benefit of any one individual nor for the singular benefit any one person. A. The restriction against inurement of benefits practices shall not prevent or otherwise prohibit the practice of benevolence and urgent care ministry practices for the members of True Hope Ministries of America. {Matthew 25:31-40; Romans 15:26-27; Galatians 2:9-10; James 1:27}

II.

True Hope Ministries of America shall not exist for political purposes and shall not campaign for any particular candidate for election or appointment to political office nor shall True Hope Ministries of America endorse, promote or directly raise funds for a political party or candidate. A. These prohibited activities shall in no way abdicate or surrender our rights and abilities to speak out against persons or issues who support, promote or design to coerce or force born again people to accept any thing that is contrary to what God says is right in the Christian Holy Bible. {Ephesians 5:11-12 2 Timothy 4:1-5}

III.

True Hope Ministries of America shall have a racially nondiscriminatory policy and therefore, shall not discriminate against applicants, members, students, employees and others on the basis of race, color or national or ethnic origin.

True Hope Ministries of America reserves the right to refuse to admit as a member or student or to hire as an employee or independent contractor or to perform ministerial services for any individual that holds religious beliefs other than those of a Biblical Christian worldview, or have lifestyles that are contrary to Biblical righteousness and/or practices that are considered to be morally corrupt as defined in the Ministry Guidelines and Bylaws of this ministry. {Leviticus 18:22; 20:13; Judges 19:22-28; Romans 1:26-27; 1 Corinthians 6:9-10; 1Timothy 1:8-11}

Article 16: INTEGRITY AND ETHICS Every member, whether General Member or Ministry Member, including the founders and leaders of True Hope Ministries of America must maintain Biblical standards of a righteous lifestyle directing spiritual, moral and social integrity and shall maintain standards of ethics as determined and set forth in the Ministry Guidelines & Bylaws. I.

Membership Acceptance/Good Standing: In order for any and all persons to be considered for and accepted into membership and to remain a member in good standing he or she must be living a lifestyle that currently excludes and continues to be free from the following: A. Sexual Impurity: This includes adultery, fornication, homosexuality, pornography, child molestation, incest and any other unclean or perverse conduct identified in the Bible. {1 Corinthians 6:9-18; Ephesians 5:5; 1 Thessalonians 4:3-8; 2 Timothy 2:22}

B. Addictions: This includes alcohol, organic and synthetic drugs that are considered illegal, the abuse and/or misuse of prescription drugs, pornography, gambling and any activity denounced or condemned by the Bible. {1 Corinthians 6:12; Ephesians 5:18; Isaiah 28:1-3; 1 Corinthians 5:11}

C. Idolatry: Serving or worshipping any person, entity or other thing as god either in addition to or in place of the One True Triune God – Father, Son and Holy Ghost. {Exodus 20:3-6; 1 Corinthians 8:1-13; 10:1-7; 10:20-22; 1 John 5:21; Revelation 21:8}

D. Maliciousness: This includes bearing false witness against another person, gossiping about another person or group of persons, making or receiving accusations against ministry elders and/or leaders of any level in an un-Biblical fashion and choosing to be bitter and/or unforgiving against a personal offender or offenders instead of following the mandates of Jesus and those in the New Testament regarding personal conflicts. {Psalms 15:1-3; Romans 1:28-32; 2 Corinthians 12:20-21; 1 Peter 3:10}

E. Rebellion: To defy in an overt or subversive manner or to participate in an act or acts of usurpation or subversion towards Biblical, church, ministerial or an individual minister’s authority or attempting to cause the un-Biblical overthrow of any church or ministry leader at any level. {1 Samuel 15:23; Hebrews 12: 2-25; Jude 1:5-7}

Any other intentional conduct or activity that is denounced or condemned in the Christian Holy Bible and/or set forth in the Christian Doctrines of True Hope Ministries of America as being displeasing to God, sinful or an abomination to God or in opposition to what is clearly identified in the Bible as God-pleasing. II.

Ethics Procedures - - Any Member, regardless of position or office that is found to be guilty of any of the above shall be considered guilty of ministerial, ecclesiastical, spiritual and or moral misconduct. A. Such members shall be offered reparative ministry with the aim of recovery from sinful damage and restoration into trusted ministry service. B. Any member guilty of the above styled misconduct and who refuses to repent and/or refuses to undergo reparative ministry of restoration and recovery, shall face appropriate procedures for disciplinary actions (which may include removal from office and/or membership) as set forth in the Bylaws and Ministry Guidelines of True Hope Ministries of America.

Article 17: CONTINUATION OF MINISTRY Upon the death or other inability of the Founding Senior Ministry Leader to perform his duties and fulfill his responsibilities, the Co-founder Executive Ministry Leader/Vice President shall succeed the Founding Senior Ministry Leader as President and Senior Ministry Leader. In the event that the Co-founder Executive Ministry Leader/Vice President exists, the existing Executive Ministry Leader/Vice President shall then fill the position of Senior Ministry Leader/President. Further succession of offices shall be undertaken according to the Bylaws and Ministry Guidelines & Bylaws of True Hope Ministries of America.

Article 18: DISSOLUTION OF MINISTRY True Hope Ministries of America shall survive its founders and charter members until and unless such time that, by unanimous decision of the existing officers on the governing bodies determine that this ministry is no longer viable. In the event of dissolution of ministry, all net assets shall be donated to one or more ministries or churches as determined by those overseeing the dissolution of True Hope Ministries of America. The dissolution of any single or multiple churches or ministries duly chartered True Hope Ministries of America shall not cause the dissolution of the entirety of True Hope Ministries of America. In the event of the dissolution of True Hope Ministries of America, such dissolution shall be performed according to the directives of the current Ministry Guidelines.

Article 19: AMENDMENTS AND REVISIONS At such time or times that issues arise that call for the amendment to one or more articles of these Articles of Ministry which is our constitution, or when developments arise or the quantity of amendments would make it advisable or necessary to revise these Articles of Ministry in their entirety, such amendments or revisions shall be made as follow: I.

Amendments to Articles: Changes to any individual article of these Articles of Ministry or any specific point therein, may only be made by resolution introduced to the whole General Governing Council at a regular or specially called meeting with prior notice for such action and being passed by a minimum three-fourths (3/4) majority decision; all amendments shall be made with prior notification to the total membership regardless of a call for a vote by the universal or general membership. A. Duly accepted changes through one or more amendments to an Article shall be indicated in the title of the amended Article by re-writing the title to the Article as: “Article ____: Xxxxxxxxxxxxxxx – Amended, Month, Year (Example: Article 19: AMENDMENTS AND REVISIONS – Amended January, 2_ _ _ or formatted as xx/xx/xxxx.) B. The amended Article shall be re-written so that the Article reads as amended and not written as originally stated followed by the amendment. C. Upon amendments being passed to one or more Articles, the title to the Articles of Ministry shall be written so as to reflect the date of the last amendment to the Articles of Ministry. (See: Revisions of Articles below)

II.

Revisions of Articles: Should it become necessary for a total revision or elimination of, rather than individual amendments, the concerned Article(s) of Ministry, proposal shall be presented to the whole General Governing Council for consideration prior to a regular or specially called Business Meeting; upon due consideration the revised Articles of Ministry as finally proposed after discussion during the Business Meeting must be passed by a unanimous vote of the Founding Members of True Hope Ministries of America (or the current members of the General Governing Council) in order to be ratified. A. Only a complete ratification of these Articles of Ministry shall require full and new ratification. B. Ratification shall require the signatures of the Founding Members and/or current officers of the General Business Council upon passage by unanimous vote. C. Revised Articles of Ministry shall be published as “Articles of Ministry – Revised” with the date of last revised publication being incorporated into the title of the Articles subordinate to the date of the original Articles of Ministry to read: “Articles of Ministry Originally Ratified 2008 Revised 2_ _ _ and last Amended 2_ _ _.” III.

All issues that may arise in addition to these Articles of Ministry, present or future, that do not necessitate an amendment to, or revision of, these Articles of Ministry shall be addressed by the Ministry Guidelines & Bylaws or, the Policy & Procedures Manual of True Hope Ministries of America as passed by the General Governing Council or as properly amended by prescribed requirements therein with the advice and counsel of all concerned Ministry Leadership Officers and/or Directors.

Article 20: FOUNDERS AND ORGANIZERS True Hope Ministries of America shall be founded and organized by the following born again individuals having come together in agreement with the foregoing articles, statements and declarations and do agree with the following individuals holding the initial positions and offices of leadership and government for this ministry: Founder:

Article 21: RATIFICATION Ratification of the Articles of Ministry, the Constitution of True Hope Ministries of America shall be ratified by resolution and unanimous vote of the above named founders and organizers. Ratification of the initial Articles of Ministry or of subsequent complete revisions thereof shall remain in effect until such time as they are revised in their entirety, amended (as described above) or until such time as True Hope Ministries of America shall cease to exist by process of dissolution as set forth herein. Ratification shall be evidenced by the signatures of the founding members and officers, the date of ratification and the Ministry Seal affixed thereto as set forth below:
