HISTORIA History
Fundada por los hermanos Fernando y Leonidas Larraín Vial, para la década de los ‘50 LarrainVial ya era una de las corredoras más importantes del país. En 1989 realizó la primera apertura en bolsa de una empresa no estatal, la eléctrica Pilmaiquén. Asimismo, lideró la colocación de un bono de Endesa por USD 110 millones. A comienzos de los ‘90 se creó formalmente el Departamento de Estudios y el área de Finanzas Corporativas. En este período se inició una ola de aperturas en bolsa, entre las que destacan Falabella, D&S y Santander Chile Holding.

Founded by brothers Fernando and Leonidas Larraín Vial, by the 1950s LarrainVial was already one of the country’s most important brokerage houses. In 1989, it conducted the first IPO for a private company, electric utility Pilmaiquén. It also led the placement of a USD 110-million Endesa bond. In the early 1990s, the Research and Corporate Finance departments were officially created. This period witnessed an impressive wave of IPOs, including most notably Falabella, D&S and Santander Chile Holding.

In 2001, the Investment Funds Manager was created, oriented to institutional investors. LarrainVial also launched the first official dollar desk at a nonbanking company and opened branches in Valparaíso and Concepción.
En 2002 LarrainVial se transformó en el primer market maker de la bolsa local y se estructuraron los primeros Efectos de Comercio.
In 2002, the first Commercial Paper were structured and LarrainVial became the first market maker in the local securities exchange.
En 2003 se formó la Mesa de Distribución de Productos para Terceros (DP3), que representa y distribuye fondos de prestigiosas administradoras internacionales, y se inauguró una sucursal en Chillán.
In 2003, the Third-Party Product Distribution Desk (DP3) was created, representing and distributing funds of prestigious international fund managers. It also opened an office in Chillán.
Además, en Perú LarrainVial incursionó en el negocio de la estructuración de fondos a través de la creación de LarrainVial Sociedad Administradora de Fondos de Inversión (SAFI).

En Chile, se inaugura una sucursal en Valdivia. Este mismo año se crea formalmente el área de Mercado de Capitales.

Se crea plataforma transaccional electrónica. Se abren sucursales en Viña del Mar y Antofagasta. Además, se crea el área de family office dentro de Gestión Global, dedicada a la administración de patrimonios familiares. En 2007 el área de Mercado de Capitales pone en marcha una plataforma transaccional electrónica a través de la cual los clientes pueden acceder desde Chile a las bolsas de Brasil y Estados Unidos, sin necesidad de comunicación verbal.
Branches were opened in Viña del Mar and Antofagasta. The family office area was created as part of Gestión Global, dedicated to the management of family fortunes. In 2007, the Capital Markets division launched an electronic trading platform whereby customers could access Brazilian and U.S. securities exchanges from Chile, without any need for oral communications.

LarrainVial closed the year as the country’s number one broker in equities and corporate bond transactions in the Santiago Stock Exchange.

In 2004 LarrainVial began operations in Peru. In Chile, it created the Asset Management and Corporate Risk Management divisions.
Se crea Gestión Global. Área enfocada a los clientes de alto patrimonio, y LVA Índices, empresa dedicada a la construcción de indicadores en el mercado latinoamericano. Además, se concreta la apertura de la cuarta sucursal fuera de Santiago, en Puerto Montt.
Operations began in Colombia through the distribution of international third-party funds to institutional clients.
Global Trust was born, the first local initiative in the Off-Shore Stock Market.
En 2001 se creó la Administradora de Fondos de Inversión, la primera mesa de dólar formal de una empresa no bancaria y se abrieron sucursales en Valparaíso y Concepción.
En 2004 LarrainVial inició operaciones en Perú y formó la Administradora General de Fondos en Chile.

This year saw the creation of Gestión Global, a wealth management division focused on high net-worth clients, and LVA Índices, a company dedicated to building indexes for the LatAm market. Larrain Vial also opened its third branch outside Santiago, in Puerto Montt.

Por segundo año consecutivo LarrainVial Corredora de Bolsa cerró el año como la número uno en transacciones en renta variable y bonos corporativos en la Bolsa de Comercio de Santiago. Durante 2009 LarrainVial Administradora General de Fondos S.A. se fusionó con Consorcio Administradora General de Fondos S.A., convirtiéndose en el cuarto actor de la industria y primero no bancario.
For the second consecutive year, LarrainVial Corredora de Bolsa closed the year as the number one broker in equities and corporate bond trades in the Santiago Stock Exchange. During 2009, the firm’s asset management arm, LarrainVial Administradora General de Fondos S.A., merged with Consorcio Administradora General de Fondos S.A., becoming the industry’s fourth-largest player overall and first among the non-banking players.

Se inauguran dos nuevas oficinas en Chile: Temuco y La Serena. En septiembre de 2010 LarrainVial se convirtió en la primera financiera chilena en registrarse como broker dealer en Estados Unidos.

LarrainVial concretó una de las mayores operaciones de M&A realizadas desde Chile hacia mercados desarrollados:
En enero LarrainVial estructuró la mayor operación financiera en cuanto a levantamiento de capital entre terceros.
La compra del 100% de Repsol Chile en manos de Repsol España por USD 540 millones.
Al vender el 40% de E-CL en manos de Codelco en USD 1.038 millones. Además, LarrainVial Corredora de Bolsa fue número uno en transacciones de acciones en cada mes del año en la Bolsa de Comercio. En Perú, LarrainVial comenzó a operar como corredor en la Bolsa de Valores de Lima bajo el nombre LarrainVial SAB. In January, LarrainVial structured the largest financial operation in terms of raising funds among third parties, with the sale of 40% of E-CL held by Codelco for USD 1.038 billion. Moreover, LarrainVial Corredora de Bolsa earned the top spot in stock trades in the local securities exchange every single month of the year. In Peru, LarrainVial began operating as a broker dealer in the local stock exchange under the name LarrainVial SAB.

Two new offices are inaugurated in Chile: in Temuco and La Serena. In September 2010, LarrainVial became Chile’s first financial outfit to be registered as a broker dealer in the United States.
En noviembre LarrainVial consolidó su presencia regional con la autorización para una corredora de bolsa en Colombia y estructuró el mayor fondo inmobiliario en Perú: Fibra II, por USD 162 millones. La corredora cerró 2012 sumando 24 meses como número uno en transacciones de acciones en el mercado chileno. LarrainVial Administradora General de Fondos lanzó un producto único en el mercado andino: los fondos de inversión SICAV (Sociedad de Inversión de Capital Variable), domiciliados en Luxemburgo. In November, LarrainVial consolidated its regional presence when it received authorization to establish a stock brokerage firm in Colombia. It also structured the largest real estate fund in Peru, Fibra II, for USD 162 million. LarrainVial Corredora de Bolsa closed 2012 logging 24 straight months as number one in equities trades in the Chilean market. LarrainVial´s Asset Management arm launched a unique product for the Andean Market, the Luxembourg-based SICAV investment funds.

LarrainVial merged its two areas dedicated to individual clients (Gestión Global and Red de Asesores Financieros) into a single Wealth Management area.

LarrainVial Asset Management launched the new Ahorro Largo Nominal, España, Europa and Oportunidad Chile mutual funds. Also, new alliances are set with Falcom Capital, Abante Asesores and EDM Asset Management.
LarrainVial S.A. refuerza su Gobierno Corporativo a través del aumento del número de directores, el ingreso de directores independientes y la creación del cargo de presidente ejecutivo. LarrainVial Corredora de Bolsa hace lo propio aumentando sus directores y modificando su estructura en el área Legal y Cumplimiento. En tanto, LarrainVial S.A. firma un acuerdo con la autoridad tributaria de Estados Unidos, el Internal Revenue Service (IRS), para adoptar la normativa FATCA (Foreign Account Tax Compliance Act), ley de cumplimiento tributario de cuentas extranjeras. Por su parte, Standard & Poor´s ratifica por segundo año consecutivo con la nota más alta, AMP-1 (Muy Fuerte), las Prácticas de Administración de Recursos de Terceros de LarrainVial Asset Management.
LarrainVial S.A. strengthened its Corporate Governance by increasing the number of directors, incorporating independent directors and creating the Executive Chairman position. LarrainVial Corredora de Bolsa did the same by increasing its directors and modifying its structure in the Legal and Compliance area. Meanwhile, LarrainVial S.A. signed an agreement with the Internal Revenue Service (IRS), the US tax authority, to adopt the FATCA (Foreign Account Tax Compliance Act) legislation. Standard & Poor’s confirmed for the second year its AMP-1 (Very Strong) classification on LarrainVial Asset Management, regarding its management of third-party resources. Humphreys affirmed the solvency rating of LarrainVial Corredora de Bolsa at AA-/Level 1+ and Feller Rate kept the same rating at AA-.
2015 En 2015 LarrainVial lidera el ranking de montos transados en acciones en las Bolsas de Comercio de Santiago y Electrónica de Chile, con una participación de mercado de 17,9%.
En Chile, la compañía colocó la única apertura en bolsa del año, de la constructora Moller & Pérez-Cotapos por USD 92 millones y la corredora logra por tercer año consecutivo el primer lugar en transacciones en renta variable en la Bolsa de Comercio de Santiago. Además, inauguramos nuestra oficina número 11 en Chile, en la ciudad de Copiapó.
After receiving authorization the year before, LarrainVial makes its debut in April as a broker dealer in the Colombian market. In Chile, the company placed the only IPO of the year, by construction company Moller & Pérez-Cotapos, for USD 92 million, and the brokerage house obtains the first place in stock trading for the third consecutive year in the Santiago Stock Exchange. Additionally, we opened our 11th Chilean branch in Copiapó.

En tanto, Standard & Poor’s confirma las clasificaciones de crédito de contraparte BBB (largo plazo) y A-2 (corto plazo) de LarrainVial Corredora de Bolsa, así como con la nota más alta, AMP-1 (Muy Fuerte), las Prácticas de Administración de Recursos de Terceros de LarrainVial Asset Management por tercer año consecutivo.
In 2015 LarrainVial leads the ranking of equity volume traded in the Santiago Stock Exchange and the Electronic Stock Exchange, with a 17.9% market share. It also held the first place in the Receivables Exchange with a 44.9% in the invoice market share. Empresas Lipigas made its debut in the capital market with its first bond placement in the local market for USD 140 million, transaction advised by LarrainVial as structuring and placing agent. Meanwhile, Standard & Poor’s confirmed the BBB (Long Term) and A-2 (Short Term) counterparty credit ratings of LarrainVial Corredora de Bolsa, as well as the highest grade, AMP-1 (Very Strong), in Asset Management Practices of LarrainVial Asset Management for the third straight year.

He obtained a degree in Business Administration from the Pontifical Catholic University of Chile and an MBA from Harvard Business School. Today he is chairman of the board for LarrainVial SAFI Peru and serves as director for Watt´s, CIC, Activa SpA and the Las Rosas foundation.

LarrainVial Capital, área dedicada al mercado de capitales, tuvo importantes resultados. LarrainVial Corredora de Bolsa cerró 2015 como líder en el mercado de acciones en Chile, con más de USD 8.500 millones en montos transados en la Bolsa de Comercio de Santiago y en la Bolsa Electrónica de Chile, con lo que alcanzó la participación de mercado más alta de la industria, de un 17,9%. En Colombia y en Perú alcanzaron el cuarto y sexto lugar con participaciones de 10% y 7,2%, respectivamente. A su vez, Finanzas Corporativas asesoró 30 operaciones por más de USD 1.800 millones. Por último, el equipo de Distribución de Productos para Terceros (DP3) alcanzó más de USD 10.500 millones en activos administrados por fondos internacionales.

LarrainVial’s Capital Markets area had significant results this year. LarrainVial Brokerage closed 2015 as a stock market leader in Chile, with over USD 8.5bn in volumes traded on the Santiago Stock Exchange and the Electronic Stock Exchange, giving it a 17% market share, the industry’s highest. In Colombia and Peru we were in fourth and sixth place, respectively, with market share of 10% in Colombia and 7.2% in Peru. Meanwhile, Corporate Finance provided advisory on 30 financial operations for over 1.8bn. Finally, the Third-Party Products Distribution team reached over USD 10.5bn in assets managed for international funds.

La relación de confianza que hemos logrado con nuestros clientes se sostiene no sólo en un marco regulatorio que toda empresa debe cumplir, sino también en estándares internos que refuercen e incluso superen lo establecido por la regulación, evidencia de que como compañía contamos con las mejores prácticas y procedimientos en el mercado de capitales.
El control de la gerencia, las funciones comerciales y de operaciones, constituyen nuestra primera línea de defensa; la segunda línea está cubierta por las áreas de supervisión legal, de riesgos, controles y Compliance establecidas por la administración, que han sido reforzadas y dotadas de sistemas de apoyo ad hoc a sus responsabilidades; por último la tercera línea de defensa está a cargo de la Auditoría interna, liderada por el área de Contraloría Corporativa.
Con el objetivo de seguir creciendo en esta materia, el 2015 nos propusimos acrecentar nuestra Cultura de Compliance, una función relevante en el quehacer diario de nuestra empresa que hemos fortalecido con todo lo que hemos elaborado y aprendido tras varios años de experiencia en el mercado de capitales, para aplicarla de forma transversal en todas las áreas de LarrainVial.
En términos aplicados y en concordancia con nuestro modelo, entendemos la función de Compliance no sólo como un apoyo, sino como parte integral de lo que hacemos y en la que todos tienen un rol y aporte relevante en su quehacer y consecución.
En ese contexto, atentos a las mejores prácticas de Gobierno Corporativo, nos hemos enfocado en la consolidación de nuestro modelo para una efectiva gestión de Riesgos y Compliance, que se basa en un modelo de las tres líneas de defensa impulsado por el European Confederation of Institutes of Internal Auditing (ECIIA) y aceptado por el Institute of Internal Auditors (IIA) Global.

With the goal of continuing growth in this area, in 2015 we set out to expand our Culture of Compliance, a significant factor in our company’s daily functioning. It is one we have strengthened through all we have created and learned over many years of experience in the capital market, applying it transversally in all areas of LarrainVial. In this context, aware of corporate governance best practices, we have focused on consolidating our model for an effective Risk and Compliance management based on a model of the three lines of defense promoted by the European Confederation of Institutes of Internal Auditing (ECIIA), and accepted by the Global Institute of Internal Auditors (IIA). Oversight of management, commercial, and operational functions constitutes our first line of defense; the second line is covered by the areas of legal supervision, risk, monitoring and compliance established by the administration, which have been reinforced and their leadership given ad hoc support systems; finally, the third line of defense lies with internal auditors, led by the area of Corporate Control. In applied terms, and in agreement with our model, we see compliance not only as support, but as an integral part of what we do; everyone has a role and contributes significantly to compliance in their duties and efforts. This has come

Esto se ha conseguido con el trabajo constante de todos, para transmitir el mensaje y así generar una Cultura de Compliance efectiva que permea tanto las áreas comerciales como de apoyo a los negocios de la compañía. Esto es respaldado por el desarrollo de manuales, códigos y procedimientos que resguarden al cumplimiento regulatorio, al control interno y manejo de riesgos que enfrenta la compañía. El área de Servicios Corporativos es clave en este esfuerzo gracias a su rol como la base sobre la cual se sostienen nuestros pilares de negocios, no sólo como proveedor del soporte tecnológico y operacional, sino también al ser responsable de administrar los riesgos y el cumplimiento de la regulación tanto interna como externa. Las gerencias que componen esta área han tomado un compromiso que se ha reflejado en diversos hechos durante los últimos años y especialmente en 2015. El rol protagónico en el fortalecimiento de esta cultura ha sido liderado por el área de Compliance Corporativo, que ha puesto la prioridad en temas esenciales como el entorno regulatorio y suitability, que nos permite calificar a nuestros clientes en referencia a su perfil de riesgo, de forma de establecer procedimientos claros para determinar cuánto riesgo están dispuestos a aceptar. También ha sido relevante el reforzamiento y capacitación de nuestros colaboradores en temas de uso de información privilegiada y manejo de conflictos de interés, en el marco de un gobierno corporativo robusto, además de elementos relevantes como la prevención de lavado de activos, financiamiento al terrorismo y el cohecho. Esto ha llevado al equipo en 2015 a tener un rol activo en la verificación de procesos y operaciones relevantes para asegurar su correcto desempeño.

A su vez el trabajo de Compliance Corporativo tuvo durante el año tres focos principales. En primer lugar, se realizó una completa actualización de todos los manuales y procedimientos para enfrentar los cambios regulatorios y el mandato de la dirección de la compañía. También se realizaron capacitaciones a más de 450 personas, pasando por las áreas comerciales y de operaciones hasta la alta gerencia. Esto nos ha permitido tener hoy una mejora objetiva en mejorar la trazabilidad de los procesos y operaciones, a través de nuevos protocolos de tratamiento de información, junto con el nuevo rol activo en procesos clave de la compañía, como por ejemplo en la verificación de clientes, distribuidores y proveedores a través de los procesos como el KYC (Know-Your-Customer) y KYD (Know-Your-Distributor). Las otras gerencias de Servicios Corporativos también asumieron un papel importante en la generación de esta cultura, suscribiendo, como es el caso de Recursos Humanos, que siempre ha mantenido una relación estrecha con el área de Compliance, la que en el último año se fortaleció a través de la coordinación y apoyo de los procesos de certificación tanto nacionales (ACIV) como internacionales (FINRA – USA, AMV – Colombia) que deben tener nuestros colaboradores. A esto se suma la implementación, coordinación, entrega de materiales y ejecución de las campañas de capacitación interna o externas a través de cursos presenciales como por la vía de cursos e-learning, y finalmente la mantención de registro de nuestros colaboradores y sus relacionados, actualizados y de acuerdos a lineamientos impartidos por Compliance y el área legal. Esta última ha sido clave en su trabajo coordinado con las distintas gerencias y especialmente con la Gerencia de Compliance

The Corporate Services area is key in this effort, as the base on which our business pillars are built, not only by providing technical and operational support, but also by overseeing risks and regulation compliance, both internal and external. The sections that compose this area have shown a commitment that has been reflected in various events in recent years, and especially in 2015.

This has allowed us today to have an objective advancement in improving the traceability of processes and operations, through new protocols of information treatment. We also incorporated a new, active role in key company processes, such as verification of customers, distributors, and providers through processes like KYC (Know-Your-Customer) and KYD (Know-YourDistributor).
The starring role in the strengthening of this culture belongs to the Corporate Compliance area, which has prioritized essential matters such as the regulatory environment and suitability, which allows us to classify our clients according to their risk profile in order to establish clear procedures for determining how much risk they are willing to accept. The strengthening and training of our collaborators regarding the use of privileged information and management of conflicts of interest has also been important in building a framework of robust corporate governance. Training has also focused on significant themes like preventing asset laundering, financing of terrorism, and bribery. This has led the team in 2015 to take an active role in establishing key processes and operations for ensuring correct performance.
The other sections of Corporate Services also took on an important role in creating this culture of compliance; this was the case for Human Resources, who have always maintained a close relationship with the Compliance area. This year it was strengthened by the coordination and support of certifications that our collaborators must have, at levels both national (ACIV) and international (FINRA in the USA, AMV in Colombia). To this is added the implementation, coordination, delivery of materials, and execution of internal or external training campaigns through in-person and e-learning courses. And finally, they have maintained records of our collaborators and those associated to them, kept up to date and in agreement with guidelines set by Compliance and the Legal area. This latter has been key in their work coordinating with the different sections and in particular with the Compliance manager, to monitor, maintain, and increase due fulfillment of the various norms regulating the activities of the group’s companies.
Likewise, the work of Corporate Compliance had three main foci during the year. First, all manuals and procedures were entirely updated according to changes in regulation and company leadership. Trainings were also carried out for more than 450 people, including team

para controlar, mantener e incrementar el adecuado cumplimiento de las diversas normativas que regulan las actividades desarrolladas por las empresas del grupo. En el último año el equipo legal se ha enfocado en una mayor eficiencia y prontitud en el apoyo del negocio y la contribución a fortalecer la Cultura de Compliance al interior de LarrainVial. El equipo de auditoría interna o Contraloría de LarrainVial por su parte ha cumplido un rol relevante en la evaluación de la efectividad y eficiencia de los procesos de Compliance, así como del cumplimiento de los requerimientos legales y regulatorios. En 2015 logró consolidar su trabajo de análisis objetivo e independiente de la estructura de control interno, de la adecuación de los procesos al cumplimiento de leyes, normativas específicas y estándares de conducta. Contraloría, como órgano de apoyo al directorio en materia de control interno, es clave en fomentar la cultura de Compliance que el directorio de LarrainVial ha establecido como lineamento estratégico y por tanto debe asegurarse de contribuir a transmitirla adecuadamente a las otras líneas de defensa existentes en el marco de control interno del holding. El cuidado del capital propio de LarrainVial también es un elemento esencial a resguardar, y el área de Riesgo Financiero ha desarrollado y fortalecido su gestión durante los últimos años, buscando enfatizar el cumplimiento de su mandato más allá de la regulación. Esto se ha logrado gracias al trabajo que hoy se ha convertido en una potente estructura de monitoreo y reportes financieros, generada a partir de procesos sistemáticos diarios, que identifican, miden y evalúan riesgos potenciales para cuidar las exposiciones de la

compañía en ámbitos de tesorería e intermediación y así evitar movimientos adversos de los mercados. La gerencia de Operaciones y Tecnología por su lado ha mantenido su estrategia de avances continuos, con la realización de varias mejoras en sus procesos operativos, incluyendo también innovaciones tecnológicas que permitieron una disminución del riesgo operacional e incrementaron su eficiencia y eficacia. The internal auditing team, as a support to the board in matters of internal control, has a key role in promoting the Culture of Compliance the board has established as a strategic guideline, and must ensure its contribution by adequately communicating this culture to the other existing lines of defense in the holding’s framework of internal monitoring. The care of LarrainVial’s own capital is also essential, and the Financial Risk area has developed and strengthened their management practices in recent years with a focus on fulfilling their mandate beyond regulations. This has been achieved thanks to the work that is today a potent structure of monitoring and financial reporting, generated from daily systematic processes that identify, measure, and evaluate potential risks, to monitor the company’s exposure in areas of assets and intermediation, and thus to avoid adverse market movements. The Operations and Technology section, for its part, has maintained its strategy of continual advancement, carrying out several improvements in their operative processes, including technological innovations that decreased
operational risk and increased efficiency and effectiveness. Among these are the use of the CEP system (Complex Event Processing) to determine LarrainVial’s fulfillment of its role as market maker by monitoring market events. Continuando con el espíritu que impulsó la creación de la Fundación LarrainVial, en 2015 se realizaron diversos proyectos de Educación y Preservación del Patrimonio en los países donde opera la compañía: Chile, Perú y Colombia.
Continuing with the spirit in which the LarrainVial Foundation was created, in 2015 we carried out various projects geared toward education and heritage preservation in the countries where the company operates: Chile, Peru, and Colombia.
Uno de los proyectos más destacados fue el desarrollo del programa “Oportunidad Temprana” para mejorar la calidad en educación inicial de jardines infantiles municipales de Colina. El programa está basado en el modelo desarrollado por la agencia alemana PAEDQUIS, con vasta trayectoria en este ámbito, y se implementó en alianza con Fundación Choshuenco y Fundación Ilumina. La evaluación y medición de resultados estuvo a cargo de la Facultad de Educación de la Universidad del Desarrollo.
One of the standout projects was the program “Oportunidad Temprana” (Early Opportunity), created to improve the quality of early education in Colina’s preschools. The program is based on the model developed by the German agency PAEDQUIS, which has a vast trajectory in this field, and it was implemented in collaboration with the Choshuenco Foundation and the Ilumina Foundation. Results measurement and evaluation were handled by the College of Education of Desarrollo University.

Este año, por segunda vez se llevó a cabo el programa de cursos e-learning para directivos escolares desarrollado por GrupoEducar y Fundación LarrainVial. El primer semestre se dictaron los cursos “Liderazgo para Escuelas Efectivas” y “Gestión Pedagógica para Directivos”, cuyo objetivo era desarrollar competencias básicas en quienes ocupan cargos directivos, para transformar sus colegios en organizaciones efectivas en lo pedagógico, responsables de sus resultados y con una dinámica de mejora permanente. El segundo semestre se llevó a cabo el curso “Gestión de la Convivencia Escolar”, especialmente diseñado para directivos escolares, psicólogos y orientadores. Esto, debido a que el clima organizacional es uno de los factores que más aporta al buen funcionamiento de una escuela, y es uno de los componentes en los que ellos pueden influir directamente. Otra iniciativa relevante fue el programa de tutorías con Belén Educa, donde 30 ejecutivos de LarrainVial apoyaron a alumnos de IV medio de los colegios de dicha institución, entregándoles una orientación personalizada durante el año respecto a sus inquietudes personales, académicas y laborales. Por su parte, también se realizó un programa de tutorías para universitarios, que busca guiar a alumnos vulnerables que han sido becados por la Fundación Puente. En tanto, colaboradores de todas las áreas de LarrainVial participaron en diversas actividades de voluntariado, entre las que destacan grupos que pintaron instalaciones de hogares y jardines infantiles pertenecientes a la fundación Protectora de la Infancia. El seminario “Del Conocimiento al Aprendizaje” fue organizado por GrupoEducar, con el patrocinio de la Fundación LarrainVial. En la ocasión expuso Patricia León Agustí, experta de la Universidad de Harvard y experta en investigación educativa y

desarrollo humano. La actividad se realizó tanto en Santiago como en Viña del Mar y contó con la asistencia de más de 300 profesores y directivos escolares. Además, la Fundación LarrainVial y la Corporación Patrimonio Cultural de Chile auspiciaron la exposición de educación patrimonial “Descubre tu patrimonio”, muestra itinerante que buscaba acercar la cultura a los estudiantes, y que recorrió más de 10 establecimientos ubicados en sectores vulnerables. Finalmente, para cerrar el año, la Navidad fue un buen motivo para realizar diversas actividades tanto en Chile como Perú y Colombia. En el primer caso, en Santiago, Viña del Mar y Concepción un equipo de voluntarios visitó jardines infantiles pertenecientes al Hogar de Cristo para repartir regalos. En Lima, la Navidad se celebró apoyando a los niños que participan en “Rayito de Sol”, un programa no escolarizado de educación inicial, además de entregar regalos y realizar una fiesta con los niños. Y en Colombia, voluntarios construyeron muebles para el mejoramiento de una escuela para niños de escasos recursos.
This year, the second program of e-learning courses was carried out for school principals, developed by GrupoEducar and the LarrainVial Foundation. The first semester consisted of the courses “Leadership for Effective Schools” and “Pedagogical Management for Principals”, whose objective was to develop basic competencies in principals, to help them transform their schools into effective pedagogical organizations, taking responsibility for their results and maintaining a dynamic of continual improvement. The second semester was the course “Management of the School Community,” specially designed for school principals, psychologists and counselors, given that a good school environment is one of the factors that most contributes to the smooth functioning of an institution, and it is one way principals can have direct influence. Another significant initiative was the tutoring program with Belén Educa, in which 30 executives from LarrainVial supported seniors from the high schools of that institution, giving them individualized guidance during the year regarding their personal, academic, and work concerns. Another tutoring program was carried out for university students, seeking to guide vulnerable pupils who have received scholarships from the Puente Foundation.
In addition, the LarrainVial Foundation and the Corporación Patrimonio Cultural de Chile (Heritage Cultural Corporation of Chile) sponsored the heritage education exhibit “Discover your Heritage,” a touring show that sought to bring students closer to their culture, and that traveled to over ten locations in vulnerable sectors. Finally, to close out the year, the Foundation carried out a variety of Christmas activities in Chile as well as Peru and Colombia. In Chile—Santiago, Viña del Mar, and Concepción—a team of volunteers visited preschools of the Hogar de Cristo to hand out gifts. In Lima, Christmas was celebrated by supporting the children who participated in “Little Ray of Sun,” an extra-curricular early education program, as well as by giving gifts and having a party for the children. In Colombia, volunteers built furniture to improve a school for children with limited resources.
In addition, collaborators from all areas of LarrainVial participated in various volunteer activities, including groups who painted household and preschool objects for the foundation Protectora de la Infancia (Childhood Protectors). The seminar “From Knowledge to Learning” was organized by GrupoEducar with the support of LarrainVial Foundation. The event featured Patricia León Agustí, expert from Harvard University in educational research and human development. The activity was carried out both in Santiago and Viña del Mar, and drew over 300 teachers and principals.

Los últimos años han sido complejos para el mercado de capitales chileno. En un entorno económico y político complejo para el país y el mundo, ha sido un gran desafío buscar oportunidades para las compañías que desean obtener capitales frescos para continuar con planes de expansión, encontrar socios estratégicos o refinanciar sus pasivos. Pese a estos difíciles momentos para el mercado, nuestro equipo no ha dejado de buscar las mejores soluciones para nuestros clientes empresas. Es así como logramos asesorar 30 operaciones por más de USD 1.800 millones en el 2015, entre las cuales existen varias transacciones destacables, que dan cuenta de que es posible pensar en un repunte del interés de los inversionistas en las compañías chilenas. La relación con Empresas Lipigas durante el año fue uno de los ejemplos del esfuerzo realizado para demostrar que el mercado de capitales es una alternativa clave en el financiamiento de las empresas.

Una compañía líder en la distribución y comercialización de gas licuado en Chile, con filiales en Perú y Colombia, más de 50 años de trayectoria, estable y con buenos flujos, Lipigas sin
embargo nunca había accedido a financiamiento en el mercado de capitales. La empresa eligió a LarrainVial para hacer su debut a través de una emisión de bonos. No bastaba con estructurar la colocación: era necesario preparar a la compañía, a su administración y directorio, para adaptarse a los requerimientos del mercado en medio de un contexto débil para las inversiones. A través de más de 20 reuniones previas a la colocación, roadshows ante inversionistas y un fuerte trabajo de análisis, se logró colocar exitosamente un bono a 25 años, por USD 140 millones, a una tasa de UF + 3,4%, que alcanzó alta demanda de inversionistas institucionales, en especial compañías de seguros y AFPs.
Recent years have been complicated ones for the Chilean capital market. In a difficult political and economic environment both nationally and globally, it has been a significant challenge to find opportunities for companies in search of fresh capital to continue expansion plans, acquire strategic partners, or refinance their debt. In spite of these difficult moments for the markets, our team has never stopped pursuing the best solutions
for our corporate clients. In 2015 we provided financial advisory on 30 operations for over USD 1.8bn, including several notable transactions that prove it is possible to envision a rebound in investor interest in Chilean companies. The relationship with Empresas Lipigas was just one example of the company’s endeavor to demonstrate that the capital market is a key alternative in company financing. With over 50 years in existence, Lipigas is a stable company with good flows, dedicated to the sale and distribution of liquid gas in Chile, with subsidiaries in Peru and Colombia. Lipigas had, however, never accessed financing through the capital market. The company chose LarrainVial to make its debut through a bond issuance. It was not enough to merely structure the placement: the company’s administration and board needed to be prepared regarding how to adapt to market requirements in a weak investment environment. Through more than 20 meetings prior to the placement, roadshows for investors, and a strong analysis, a 25-year bond was successfully placed for USD 140mn, at a rate of UF + 3.4%, which was in high demand among institutional investors, especially insurance companies and AFPs.

Sin embargo esto era el primer paso, puesto que la mirada estaba puesta en la apertura en bolsa de la compañía, a concretarse en diciembre del 2015, tras años de planificación. Fue importante el trabajo para convencer a los inversionistas en bonos, que buscan estabilidad de flujos a largo plazo, de la oportunidad de ingresar a una compañía que podría recibir capital para acelerar su crecimiento, con los riesgos que conlleva en el corto plazo. La apertura en bolsa de Lipigas habría acabado con la sequía de casi tres años en el mercado chileno. Pero pese a todos los esfuerzos realizados junto con Banchile Inversiones, el otro agente colocador, si bien se alcanzó la demanda necesaria para realizarlo, no se logró a un precio que sus accionistas actuales estimaron beneficioso. Con el mercado aún en una actitud pasiva respecto a oportunidades de inversión, la posposición de este IPO fue un aprendizaje importante para LarrainVial, que no dejará de buscar opciones para que compañías de la calidad de Lipigas no teman a la hora de mirar al mercado de capitales como fuente de financiamiento. Y si bien el mercado chileno no contó con muchos actores durante el año, ha continuado atrayendo el interés de actores externos. En línea con la tendencia de compañías internacionales buscando oportunidades ante la valoración conveniente de empresas chilenas, asesoramos a Multiexport Foods en el aumento de capital por USD 100 millones en su filial Salmex, que fue suscrito por la japonesa Mitsui & Co., con lo que esta última pasó a quedarse con el 23,37% de la propiedad. Las condiciones adversas de la industria del salmón fueron un elemento de incertidumbre para esta transacción; incluso llevaron a otra operación asesorada por LarrainVial, la fusión de Marine Harvest con Aquachile anunciada en enero de 2015, a cancelarse.

Sin embargo, la transacción se realizó con un premio del 85% respecto del precio de la acción de Multiexport el día del anuncio, evidencia de la calidad del negocio realizado pese a la complejidad del sector durante los últimos años. A esta podemos sumar la compra del 40% de BCI Seguros por parte de Mutua Madrileña, aseguradora líder en España, por USD 220 millones. Esta transacción nació del interés de la compañía hispana de expandirse en Latinoamérica, ante lo cual LarrainVial, junto a Altamar Advisory Partners, analizaron el mercado de seguros chileno para llegar a BCI Seguros, cuyo posicionamiento a través de su relevante participación de mercado, rentabilidad a nivel de la industria y complementariedad con el negocio de Mutua Madrileña la hicieron el candidato ideal para iniciar su llegada a la región. Tras varios meses de análisis y negociación se alcanzó el acuerdo, el cual contempla la posibilidad de toma de control por parte de Mutua Madrileña en el futuro. Por último podemos destacar el anuncio en 2015 de la fusión entre Sun International, compañía sudafricana operadora de casinos que en Chile es dueña de Monticello, y la chilena Dreams, que tiene además presencia en Perú. Esta operación por más de USD 1.000 millones convertirá a la empresa fusionada en el principal actor en la industria de casinos de Latinoamérica. Estos casos y más son evidencia de que existen opciones de crecer y financiarse para las empresas, y que LarrainVial estará ahí con sus clientes para ayudarlos a concretarlas, convenciendo a los inversionistas tanto locales como extranjeros que hay compañías de excelencia que presentan grandes oportunidades de inversión.
Lipigas going public would have put an end to the nearly three years of drought in the Chilean market. But in spite of all the efforts carried out in collaboration with Banchile Inversiones, the other placement agent, and though the necessary demand was there, the price was not deemed favorable by current shareholders. With the market’s attitude still passive toward investment opportunities, the postponement of this IPO was an important lesson for LarrainVial, and we will not stop seeking opportunities so that companies of the quality of Lipigas will not shy away from seeing the capital market as a source of financing. And while the Chilean market did not have many actors during the year, it has continued attracting interest from outside actors. In line with the trend of international companies pursuing opportunities in the beneficial valuations of Chilean companies, we acted as financial consultant for Multiexport Foods in their capital increase of USD 100mn for their subsidiary Salmex; it was subscribed by the Japanese firm Mitsui & Co., who now hold 23.37% of the property. The adverse conditions of the salmon industry were an element of uncertainty for this transaction; they even led to the cancellation of another operation LarrainVial consulted on, the merger announced in January 2015 between Marine Harvest and Aquachile. However, the Multiexport transaction was carried out with an 85% premium over the company’s stock price on the day of the announcement, proof of the quality of the negotiation carried out in spite of the sector’s complexity in recent years.

Their significant market share, profitability at the industry level, and complementarity with Mutua Madrileña’s business made BCI the ideal candidate through which to enter the region. An agreement was reached after several months of analysis and negotiation; it includes the possibility of Mutua Madrileña having a controlling stake in the future. Finally, we can highlight the 2015 announcement of the merger between Sun International, a South African casino operator that owns Monticello in Chile, and the Chilean company Dreams, which also has a presence in Peru. This operation for over USD 1bn will turn the post-merger company into the main actor in the Latin American casino industry. These examples and others are evidence that opportunities for growth and financing exist, and that LarrainVial will be there for our clients to help them bring these opportunities to fruition, persuading investors both local and international that there are companies of excellence that present great investment opportunities.
To this we can add the purchase of 40% of BCI Seguros by Mutua Madrileña, a leading insurer in Spain, for USD 220mn. This transaction was born of the Spanish company’s interest in expanding to Latin America; LarrainVial, along with Altamar Advisory Partners, analyzed the Chilean insurance market and eventually arrived

En 2015 nuestra área de mercado de capitales estuvo nuevamente enfrentada a un entorno volátil y complejo, en el que los inversionistas continuaron alejándose de la Región Andina. La realidad macroeconómica y caída del cobre en Chile, la baja del petróleo en Perú y Colombia, y la desaceleración de China fueron factores exógenos que afectaron las economías locales y por lo tanto los mercados locales de acciones y bonos. El esfuerzo de todos quienes trabajamos como intermediarios en innovar y estar cerca de nuestros clientes fue esencial para mantener nuestro liderazgo y crecimiento, de la mano de una ejecución de excelencia y un ojo experto para encontrar y desarrollar nuevos servicios y productos enfocados siempre en el cliente. En materia de acciones, el trabajo conjunto de los equipos en Chile, Colombia y Perú ha dado buenos resultados pese a la importante baja en los volúmenes transados a nivel de la industria, reflejo de la búsqueda constante de alternativas de inversión en la Región Andina para nuestros clientes institucionales. In 2015, our Capital Market area once again faced a complex and volatile environment in which investors continued distancing themselves from the Andean Region. The macroeconomic reality and the fall in copper in Chile, lower oil prices in Peru and Colombia, and the slowdown in China were exogenous factors that affected local economies, and consequently the local stock and bond markets. The effort of all those who work as intermediaries to innovate and remain beside our clients was essential to maintaining
our leadership and growth, as was an excellent execution and an expert eye for finding and developing new products and services, always focused on the client. In terms of stocks, the cooperation between teams in Chile, Colombia, and Peru has brought good results in spite of the significant drop in volumes traded at the industry level. This reflects our constant search for investment alternatives in the Andean region for our institutional clients. LarrainVial led the Chilean market once again, with 17.9% market share. Our offices in Colombia and Peru were not left behind, in fourth and sixth place with 10% and 7.2% market share, respectively, in the stock markets of each country. The fixed income area has also seen significant results, leading it to become an essential part of our business. We have dedicated a great deal of energy to finding new opportunities in different markets, and to deepening relationships with clients who operate with us. The large amount of trips the team took over the course of the year to visit clients and companies have fulfilled the goal of bringing us closer to clients and improving our presence as a leading debt broker in the region. This has allowed us to increase our volume of operations significantly that come from clients from all over the world. All this has been accompanied with strong corporate debt coverage from the LarrainVial Research

El progreso que ha sostenido el equipo de renta fija se ha demostrado en un aumento de más del 25% en los ingresos del negocio internacional, que con volúmenes estables de intermediación se ha convertido en una parte esencial del área de mercado de capitales de LarrainVial. Hemos continuado validando nuestra trayectoria de éxito y calidad, buscando convertirnos en el referente en la intermediación de renta fija, para que cuando inversionistas extranjeros piensen en invertir en la región, lo hagan a través de LarrainVial. Pero no sólo hemos estado trabajando en lo que ya hacemos, sino que estamos constantemente buscando nuevos servicios y productos que ofrecer. Por esta razón, uno de nuestros principales logros durante el 2015 fue la creación de FundServices, pensado para inversionistas institucionales, compañías de seguros, administradoras de fondos y family offices que necesiten de una plataforma de servicios que los apoye en el manejo de información de fondos y otros productos financieros, en particular dándoles acceso a operaciones y custodia en valores extranjeros en mercados extranjeros. El objetivo es entregar un servicio en línea, con arquitectura abierta, automatizado y a la medida de las necesidades del cliente, capaz de proveer todos los recursos operativos necesarios en materia de reportes, seguimiento de posiciones, llamados de capital, eventos de capital, liquidaciones de operaciones, movimientos de caja, transacciones a nivel internacional y más.

Esta iniciativa comenzó en agosto de forma interna con el objetivo de validar y formalizar procesos y equipos, para luego comenzar a ofrecerse como servicio a terceros, en línea con lo que se está llevando a cabo en grandes instituciones financieras globales quienes ofrecen ya servicios de este tipo. Cabe señalar que en diciembre de 2015 dimos el primer paso al cerrar un acuerdo con nuestro primer cliente externo institucional, logrando cerrar el año con más de USD 1.000 millones invertidos vía esta plataforma. En materia de productos también hemos buscado innovar y ofrecer alternativas atractivas a nuestros clientes, pensando en posibilidades no exploradas y que ofrecen una oportunidad de inversión con enorme potencial. This fund is administered by businesspeople specialized in the health field in Latin America: Alejandro Weinstein, Chile, and José Minski, Colombia. In sum, 2015 was not only a year of consolidation, but also of expansion, as we strive to offer innovative products and services for our institutional clients, so that they always keep LarrainVial as their first choice when deciding where to invest.
As such, one of our main achievements in 2015 was the creation of FundServices, designed for institutional investors, insurance companies, fund administrators, and family offices in need of a service platform that supports them in managing information on funds and other financial products, in particular giving them access to operations and asset custody in foreign markets. The goal is to provide automatic online services, with open architecture and tailored to the client’s needs, able to provide all operative resources in terms of reports, asset tracking, capital calls, capital events, transaction settlements, cash movements, international transactions, and more. This initiative began internally in August, with the goal of validating and formalizing processes and teams, to later be offered as a service for third parties, in line with what is being done at large global financial institutions that already offer services of this nature. We note that in December 2015, we took the first step to close an agreement with our first external institutional client, closing the year with over USD 1 billion invested via this platform. In terms of products, we have also sought to innovate and offer attractive options to our clients, turning to unexplored possibilities that offer investment opportunities with

Equity analysts monitor nearly 60 companies that make up an average of 70% of the IPSA, Colcap, and IGBVL indices. Their analysis is mainly disseminated through company, strategy, and economic reports, among which the Equity Handbook stands out as the main publication that kicks off our regional investment strategy each year. In 2015, two of our analysts were recognized by the independent entity Thomson Reuters with Starmine Awards for Latin America for the quality of their recommendations. Moreover, our team of Corporate Debt analysts has positioned itself among the large institutional investors of the United States and Europe, who follow our research thanks to our choice to privilege local color. Esta situación nos ha llevado a acrecentar y mejorar la cercanía con nuestros clientes, entregándoles una mejor asesoría, más completa e informada y acorde al perfil de cada inversionista. Para esto ha sido esencial renovarnos y buscar nuevas formas para alcanzar este objetivo. Debido al deterioro de las cifras locales, el 2015 fue un año donde el flujo de inversiones de nuestros clientes mantuvo la tendencia de buscar alternativas en el extranjero. Esto valida cada vez más nuestro modelo de arquitectura abierta, sustentado por una amplia oferta de plataformas, vehículos y estrategias de inversión. 2015 was defined by its high volatility, marked by deterioration of macroeconomic figures at a global level and a pronounced decrease in growth figures at the local level. This context led us to grow and improve our closeness with clients, bringing
them better, more complete and informed advisory in agreement with each investor’s profile. To this end, it has been essential to update our practices and seek new ways of achieving this goal. Owing to the deterioration in local figures, in 2015 our clients’ investment flow held to the trend of seeking alternatives outside of Chile. This further validates our open architecture, based on a broad range of investment platforms, vehicles, and strategies. Along this line, one of our greatest achievements in 2015 was to deepen and strengthen our international platforms, by means of the alliances we maintain with UBS, Pictet, AllFunds, and Pershing, financial entities that are among the most distinguished in the world. In our business model, we have maintained Wealth Management’s tradition of staying close to our clients, refining our standards of attention and communication. To that end we have improved our client attention models, assigning a certain number of clients to each agent, and designating platforms according to each client’s needs, developing recommended portfolios for each risk profile and platform with which we work. This has helped us improve our efficiency and establish everhigher standards of quality in our advisory, diminishing risk for both clients and the company. Como ya es una costumbre, durante el 2015 obtuvimos diversos reconocimientos internacionales por parte de las prestigiosas revistas Global Finance y The Banker/PWM. Esto ha sido prueba de nuestro esfuerzo y credibilidad en el modelo de negocios, que desde hace 4 años venimos instaurando, siendo el punto de partida la fusión de los negocios de personas dentro de LarrainVial (Gestión Global y la Red de Asesores Financieros), definiendo una estrategia que piense a futuro en temas de mercado, regulatorios y requerimientos operativos del negocio. Los premios nos sitúan a la altura de competidores globales como Itaú (mejor entidad de Brasil de acuerdo a Global Finance) o Santander (mejor entidad en México según la misma revista) y nos presenta un desafío de seguir mejorando para mantenernos como competencia cierta de estos gigantes de la industria. This job has borne fruit over time, and our clients’ trust is reflected in the over USD 6bn managed and administered by Wealth Management at the close of 2015. As is by now usual, in 2015 we obtained various international awards from the prestigious magazines Global Finance and The Banker/ PWM. This is evidence of our effort and the credibility of our business model, which has been in effect for four years and is the starting point for the fusion of LarrainVial’s businesses for individuals (Global Management and the Financial Advisor Network), defining a strategy that looks to the future in matters of the market, regulations, and operational business requirements. These awards situate us at the height of global competitors like Itaú (the best Brazilian entity, according to Global Finance), or Santander (the top entity in Mexico, according to the same magazine). We are up to the challenge of continuing to improve so we remain sure competition for these industry giants. All of this was taken into consideration when granting awards, and so we believe we are on the right track. Desde hace muchos años, LarrainVial Asset Management se ha posicionado como la mayor administradora de fondos no bancaria de Chile, a través de la consistencia en sus estrategias de inversión y una constante innovación en el desarrollo de productos y sus procesos. El año 2015 fue un año de importantes logros. En términos de retorno, logramos que más de un 80% de nuestros fondos tuviera una rentabilidad sobre la media de la industria. Estos resultados en rentabilidad nos hicieron merecedores de Premios Salmón y Morningstar a los fondos Acciones Nacionales y Portfolio Líder. Nuestros equipos también han sido destacados por su gran desempeño en el año, como en el caso de los portfolio managers Tomás Langlois y Martín Benítez, quienes fueron reconocidos por la revista Citywire entre los Top 100 Asset Managers de 2015. For many years now, through its consistent investment strategy and constant innovation in products and processes, LarrainVial Asset Management has positioned itself as the largest non-bank funds manager in Chile. 2015 was a year of significant achievements. In terms of returns, 80% of our funds had profitability above the industry average. These
results garnered us Salmón and Morninstar awards, for the Acciones Nacionales and Portfolio Líder funds. Our teams have also been recognized for their outstanding performance over the year, as in the case of the portfolio managers Tomás Langlois and Martín Benítez, who were recognized by the magazine Citywire in their list of Top 100 Asset Managers of 2015. Y si bien fue un año de muchas noticias positivas pese a la compleja situación de los mercados, también hubo desafíos que enfrentar. Uno de ellos fue que las Administradoras de Fondos de Pensiones decidieron cambiar de administrador al fondo Beagle después de 11 años de historia y reconocido buen desempeño. Si bien fue un difícil momento para nuestro equipo, decidimos mirarlo como una oportunidad y fue así como lanzamos un nuevo fondo de inversión All Cap llamado Chile Equity, que se encuentra dentro de los primeros en rentabilidad de la industria y gracias al esfuerzo y persistencia de todo el equipo en LarrainVial, logramos recuperar el nivel de patrimonio bajo administración que teníamos antes de la salida del fondo Beagle. Estamos agradecidos por la confianza que depositan nuestros clientes en los equipos de Asset Management. Durante el año 2016 continuaremos innovando bajo procesos de inversión rigurosos y lanzaremos nuevos productos para que nuestros clientes puedan acceder a las oportunidades que nos brinda el mercado.

And while it was a year full of positive news in spite of the complex market situation, there were also challenges to overcome. One of them came when the Pension Funds Administrator decided to move the Beagle fund to a different manager, after eleven years of history and recognized good performance. While it was a difficult moment for our team, we decided to see it as an opportunity, and that was how we launched a new All Cap investment fund called Chile Equity, which is among the first in profitability in the industry. And, thanks to the efforts and persistence of the entire LarrainVial team, we managed to recover the level of assets under administration we had before the Beagle fund’s exit. We are grateful for the trust our clients place in our Asset Management teams. During 2016, we will continue to innovate under rigorous investment processes, and launch new products so that our clients can access the opportunities the market has to offer.

Uno de los hitos más relevantes en el año ha sido el desarrollo del proyecto Biolantánidos en la Octava Región, liderado por Minería Activa. One of the most significant achievements this year for Activa has been the development of the Biolantánidos in the Eighth region under the leadership of Minería Activa. Diez años cumplió Activa el 2015, entregando acceso y generando oportunidades a inversionistas de todo el mundo en private equity en Latinoamérica. Hemos trabajado en conjunto con equipos de ejecutivos de excelencia, en sectores tan diversos como el minero, eléctrico, inmobiliario, forestal, agrícola, industrial y de deuda. Este año en que vimos crecer los activos administrados un 31%, superando los USD 1.000 millones en 44 vehículos de inversión, hemos creado nuevas áreas y se lograron avances importantes que reflejan el trabajo realizado por la compañía y que este año 2015 ya están dando frutos. Uno de los hitos más relevantes en el año para Activa, ha sido el desarrollo del proyecto Biolantánidos en la Octava región, liderado por Minería Activa y que busca ser el primero en Chile en aprovechar un yacimiento de tierras raras, minerales que se encuentran en un 95% en China y son utilizados en todo tipo de productos tecnológicos, desde teléfonos hasta autos eléctricos. Con una inversión que ya supera los USD 20 millones, Biolantánidos iniciará producción el año 2018 con 750 toneladas de óxidos de REE mixtos por año. Esto, gracias a la construcción de plantas procesadoras que extraerán los minerales a través de un proceso sustentable, que toma el material arcilloso del cual provienen y luego lo devuelve al suelo, tras lo cual se replantarán árboles de pino y eucaliptus. Esta apuesta de Minería Activa por un proyecto que combina un material y proceso únicos en el mundo, repre-
senta una gran oportunidad para sus inversionistas. Fuera de Chile también hemos estado aplicando nuestra experiencia. Tal es el caso del lanzamiento del fondo Victus Colombia por parte de Sembrador, nuestra asociación dedicada al desarrollo agroindustrial que está llevando todo el conocimiento que ha alcanzado durante los últimos años en Chile hacia otro país. Este vehículo de inversión busca aprovechar el acceso al agua, tierra disponible y capital humano en ese país para invertir en cultivos de nivel internacional, aplicando la mejor tecnología, técnicas de riego y selección de variedades frutícolas de alto valor. Con un primer objetivo de USD 15 millones, el fondo buscará atraer a inversionistas multilaterales, de alto patrimonio y family offices que apuesten por este proyecto, que estima en unos cinco años el proceso de inversión para que los cultivos alcancen la madurez que les permita comenzar a generar ingresos por exportaciones.
Activa turned ten years old in 2015, a decade spent opening up opportunities in Latin American private equity for investors all over the world. We have collaborated with teams of excellent executives in sectors as diverse as mining, energy, real estate, forestry, agriculture, industry, and debt. This year, during which we saw assets under administration grow 31% to exceed USD 1bn in 44 investment vehicles,
we have created new areas and made significant advances that reflect the work the company has carried out, and that in 2015 are bearing fruit. One of the most significant achievements this year for Activa has been the development of the Biolantánidos in the Eighth region under the leadership of Activa Mining, which seeks to be the first in Chile to mine a deposit of rare earth. Worldwide, 95% of these minerals are found in China, and they are used in all kinds of technological products, from telephones to electric cars. With an investment already over USD 20mn, Biolantánidos will begin production in 2018, with 750 tons of REE oxides mixed per year. This production will come thanks to the construction of processing plants that will extract the minerals through a sustainable process that takes the clay material in which they are found and then returns it to the soil, after which pine and eucalyptus trees will be planted. Mining Activa’s venture in a project that combines a material and process that are unique in the world is a great opportunity for their investors. We have also been applying our experience outside of Chile. Such is the case of the launch of the Victus Colombia fund by Sembrador, our association dedicated to agro-industrial development that is bringing all the knowledge they have garnered in recent years in Chile to another country. This investment vehicle seeks to take advantage of the access to water, the available land, and the human capital in Colombia in order to invest in cultivation at an international level, applying the best technology, irrigation techniques, and selection of the highest quality seed varieties. With a starting goal of USD 15mn, the

Por otro lado, el levantamiento de la segunda familia de fondos de inversión de SCL Energía Activa, el Americas Energy Fund II y el Americas Energy Fund II Clean Energy, alcanzaron compromisos por más de USD 400 millones incluyendo co-inversión. Buscan alcanzar una cartera cercana a los seis proyectos, en tanto complete su proceso de inversión, entre los que ya destaca la inversión en el primer terminal de gas natural licuado de Colombia, y la compra de la central térmica Termovalle S.A., también en dicho país. El foco de inversión es principalmente la adquisición y construcción de proyectos en el sector energía en Chile, Perú y Colombia. El énfasis del Clean Energy fund, con compromisos de inversión de los DFI (Development Financial Institution), es impactar la matriz energética de la región en términos de disminuir la importancia de los hidrocarburos en la generación. En línea con las tendencias mundiales en private equity, este año Activa creó un nuevo vehículo de inversión en deuda: Activa Private Debt. Con el foco de invertir en deuda privada de personas naturales o empresas que cuenten con buen comportamiento de pago pero que, por su tamaño, tienen acceso limitado a la banca tradicional y al mercado de capitales. Es así como ya se lanzó el primer fondo que busca apoyar el desarrollo de este tipo de empresas: el fondo de inversión Activa Deuda SGR, que actualmente ya ha levantado USD 15 millones para invertir en créditos de empresas con ventas menores a UF 150.000 anuales respaldados con garantías de Sociedades de Garantía Recíproca (SGR). Desde operadores turísticos hasta cadenas de ferreterías regionales se han visto beneficiados por este fondo, que espera duplicar su tamaño durante 2016. Ambos fondos el año 2015 y de acuerdo a El Mercurio Inversiones, fueron los dos fondos de inversión en renta fija más rentables a nivel nacional, después de que también Bloomberg, el año 2014, publicó que el primer fondo era el segundo más rentable del mundo en hipotecas dentro de otros 17 fondos. Por su parte, San Sebastián continúa creciendo en el arriendo con promesa de compraventa de la ley 19.281 y el año 2015 levantó su novena cuenta en participación, acumulando activos por UF1.550.000 en más de 2.600 hogares. El Fondo de Inversión Privado Mater ha continuado consolidando y expandiendo su portafolio de inversiones. Durante 2015 realizó una nueva inversión a través de GES Retail SpA, sociedad matriz de dos marcas de moda que participan en el mercado de los accesorios femeninos: i-D y Humana, que tienen presencia en las tiendas por departamento de Paris y Ripley. Centros de Salud (Medicenter) continúa avanzando en su plan de crecimiento con un nuevo centro médico en Puente Alto y el desarrollo en proceso de tres centros médicos adicionales, dos en la Región Metropolitana (Recoleta y Santiago Centro) y uno en Puerto Montt. Con estas nuevas ubicaciones la red completará 8 centros médicos. Por su parte, EFT Group finalizó el proceso de integración con la firma uruguaya PayTrue, que formaba parte de la compañía desde 2013, y comenzó a operar bajo la marca PayGroup, buscando potenciar su crecimiento en el mercado regional donde ya cuenta con presencia en 14 países. El trabajo que ha realizado Activa fue reconocido por la revista Global Banking and Finance Review de Londres, que otorgó el premio “Best Private Equity Firm in Chile” en 2015. Moreover, the launch of the second family of investment funds of SCL Energy Activa, the Americas Energy Fund II and the Americas Energy Fund II Clean Energy, garnered commitments for more than USD 400mn, including coinvestment. They seek to achieve a portfolio of around six projects as the investment process is completed. Among these, we can already highlight investment in Colombia’s first natural gas plant, and the purchase of the thermal power plant Termovalle S.A., also in Colombia. The investment focus is mainly the acquisition and construction of projects in the energy sector in Chile, Peru, and Colombia. The emphasis of the Clean Energy fund, with committed investment from the Development Financial Institution (DFI), is to shift the energy matrix in the region toward less coal-dependent generation.
The Mater Private Investment Fund has continued consolidating and expanding its investment portfolio. In 2015, through GES Retail SpA, the controlling company of two fashion brands in the feminine accessory market, it made a new investment: i-Dy Humana, which has a presence in the Paris and Ripley department stores. Medical Centers (Medicenter) continues moving forward in its growth plan, with a new medical center in Puente Alto and development underway on three additional centers, two in the Santiago region (Recoleta and Downtown), and one in Puerto Montt. With these new locations, the network will have eight medical centers. For its part, EFT Group finalized the process of integrating with the Uruguayan firm PayTrue, which has been part of the company since 2013, and began to operate under the brand PayGroup, seeking to strengthen its growth in the regional market, with a presence already in 14 countries.
In line with the global trends in private equity, this year Activa created a new investment vehical in Debt: Activa Private Debt. With the investment focus of investing in private debt of natural persons or companies that have a good payment history but, because of their size, have limited access to traditional banks and the capital market. This led to the creation of the first fund in support of the development of this kind of company: the investment fund Activa Deuda SGR, which has currently raised USD 15mn to invest in credist of companies with sales under UF 150,000 annually, backed with guarantees from Mutual Guarantee Societies (MGS). Businesses ranging from tour operators to regional hardware store chains have been benefited by this fund, which is expected to double in size in 2016. Through San Sebastián Inmobiliaria S.A., mortgage credit continues to expand in Chile in line with developing government policies that benefit social housing. Through our two subsidized mortgage bond funds, we acquired UF 713,000 in 2015, already accumulating over UF 3,260,000 in more than 5,800 homes throughout the country. 2015 fue un año de crecimiento y consolidación para el desarrollo de la Bolsa de Productos. Con la puesta en marcha de la nueva ley de factura electrónica, se logró optimizar el modelo de negocios, otorgando una mayor agilidad al proceso comercial y operativo, lo que ha repercutido positivamente en la calidad del servicio a clientes. La incorporación del primer corredor bancario se ha constituido también en una buena noticia para esta industria. En efecto, BCI Corredores de Bolsa de Productos inició sus operaciones durante 2015, y se espera que se convierta en un actor relevante del mercado. En lo que se refiere a volúmenes operados, 2015 fue un año muy positivo para la Bolsa de Productos. Tanto así, que se logró un incremento de un 12% respecto del año anterior, en un período de bajo crecimiento económico. En ese sentido, LarrainVial se ha consolidado como el principal actor e impulsor de la Bolsa de Productos, cuyos volúmenes de operación han tenido un fuerte crecimiento en los últimos años. Durante 2015, nuestra corredora obtuvo una participación de mercado cercana al 45% del total de volúmenes transados. Este logro, producto del compromiso y profesionalismo de todo el equipo, fue reconocido en una premiación
organizada por la Bolsa, que otorgó a nuestra compañía un galardón a los mayores montos transados en facturas. El año 2015 tuvo grandes hitos para LVA Índices, gracias a la confianza puesta en nosotros por parte de importantes instituciones que ven en nuestros servicios de análisis financiero un instrumento esencial para su trabajo. Es así como hemos logrado posicionarnos con liderazgo para que nuestras herramientas tengan presencia en instituciones importantes del Estado y del mercado de capitales. En febrero, la Superintendencia de Pensiones contrató en forma directa a LVA Índices como uno de los dos proveedores de precios que se promediarán para calcular el precio oficial de los activos de renta fija de los Fondos de Pensiones de Chile. De esta forma, entregamos información esencial para las carteras de los inversionistas institucionales más grandes de Chile. Tras varios meses de prueba e implementación, en diciembre la Superintendencia dejó de publicar sus precios y comenzó a utilizar el promedio que incluye a LVA Índices como el precio oficial para las AFPs. Al dejar de actuar como proveedor de precios, la Superintendencia causó un positivo efecto secundario para la compañía: múltiples entidades que utilizaban la información que publicaba en forma gratuita, se vieron forzadas a contratar los servicios
de proveedores de precios, aumentando la demanda por nuestros productos. Dado el cambio, descontinuamos nuestros índices de renta fija originales, que eran calculados con esos precios, y creamos los nuevos índices LVA-Chile, que incorporan diversas mejoras utilizando nuestros propios cálculos de precios de los activos de renta fija. Además, nos convertimos en el proveedor oficial de precios de futuros para la CCLV, la Contraparte Central de Liquidación de Valores de la Bolsa de Comercio de Santiago, entregando las valorizaciones que se utilizan para hacer compensaciones en esta plataforma.
2015 was a successful year for LVA Indices, thanks to the confidence placed in us by important institutions that see our financial analysis services as essential tools to their work. Thus, we have successfully positioned ourselves as leaders, and our tools have a presence in relevant Government entities and institutional investors. In February, the Superintendency of Pensions contracted LVA Indices as one of the two price providers whose evaluations it will use to calculate an official price for fixed income assets for Chilean Pension Funds.
Due to this decision, the information we provide will now have a fundamental role for the portfolios of Chile’s largest institutional investors. After several months of testing and implementation, the Superintendency ceased to publish their prices in December, and began to use the average that includes LVA Indices as the official price for the AFPs. Now that they no longer act as a price provider, the Superintendency brought about a positive side effect for the company: multiple entities that used their free published prices as the source to value their portfolios were forced to seek out the services of price providers, increasing demand for our products. Due to this change, we discontinued our original fixed income indices, which we calculated using those prices, and we created the new LVAChile indices, incorporating various improvements and using our own evaluated prices for fixed income assets. Moreover, we became the official futures price provider for CCLV, the Central Counterparty for Clearing and Settlement of the Santiago Stock Exchange, providing the valuations used to calculate compensations on the platform. In addition, we are turning our attention to a significant need in the funds industry. We have launched new fact sheets compliant with the 59

Junto a ello dirigimos nuestra atención a una relevante necesidad de la industria de fondos, con el lanzamiento de los nuevos folletos informativos bajo la Norma de Carácter General 365 para fondos mutuos y fondos de inversión respectivamente, los que hasta el momento no habían tenido la exigencia de contar con este tipo de documentos. La captación de administradoras de fondos de inversión fue tan exitosa como la primera ronda con los fondos mutuos, con sólo algunas administradoras pendientes de utilizar nuestro servicio. Hoy el 100% de los fondos mutuos de la industria chilena desarrollan sus folletos informativos con LVA Índices. Las Administradoras de Fondos de Pensiones de Perú también confiaron en nosotros: tres de las cuatro AFPs locales eligieron los índices LVA Perú de Renta Fija como su estándar, tanto para medición de desempeño como para reportar a su regulador, la SBS. El buen desempeño de la compañía llevó a que, antes del final del año, nuevos inversionistas decidieran entrar a la propiedad de la compañía, con el objetivo de llevarla a una nueva etapa de crecimiento. El 28 de diciembre de 2015, la administradora de inversiones ADIN y la compañía de servicios de outsourcing tecnológico Kibernum pasaron a ser los accionistas mayoritarios de LVA Índices, con lo que LarrainVial quedó como accionista minoritario y Buena Vista Capital salió de la propiedad.

The first road show for investment funds was as successful as the first one with mutual funds. Only a few investment fund administrators are still generating their fact sheets internally, and today 100% of mutual funds in the Chilean industry create their fact sheets with LVA Indices. Peruvian Pension Fund Administrators have also trusted us, as three of the four local AFPs have chosen our LVA Perú Fixed Income Indices as their standard for performance measurement and for reporting to their regulator, the SBS. Because of the exceptional performance of LVA Indices, toward the end of the year new investors decided to buy into the company and take it into a new stage of growth. On December 28th, 2015, the investment manager ADIN and the IT outsourcing services company Kibernum became majority shareholders of LVA Indices; LarrainVial remained as a minority shareholder, and Buena Vista Capital exited the property. Going forward, LVA Indices will seek to continue growing and developing new financial analysis tools, on a larger scale and with an international focus.
