It was pleasing therefore that Vista was still able to assist our UK PE partners with insurance due diligence on 50 completed deals. A slightly increased number of deals “fell over” as the DD process revealed fragility in some of the numbers projected and we continued to undertake a number of successful portfolio reviews. Improving cover and reducing costs for the businesses – helping to ease exit. In addition, internationally we worked on a significant number of addons and new platforms for our colleagues in the US and investment into European head officed businesses from the UK was also a highlight of the year. As we look ahead to 2023 we expect to see a quiet first quarter but with money to spend and some pent-up sales demand we do expect volumes to return to somewhere near the five year trend. 2021 was after all very much an outlier statistically. We also hope to see some of the deals that fell over returning to the table with some more realistic valuations. Thank you to all our supporters, we look forward to facing the challenges ahead with optimism and enthusiasm. TECHNOLOGY Manchester-based contract lifecycle management disruptor Summize has secured £5m Series A investment from YFM Equity Partners (YFM) and Maven Capital Partners (Maven), as it looks to build its presence in the US and further develop its intelligent SaaS legal technology. Founded in 2018, Summize has experienced rapid growth by taking a disruptive approach to a traditional sector. Its world-first integrated contract lifecycle management (CLM) software is uniquely designed to make contract workflows smarter and up to 85% faster by digitising and automating manual legal processes. Summize has more than 100 businesses worldwide on its platform, including Fujifilm, Everton FC, NCC Group, Moonpig and The Modern Milkman. BCN Group made the strategic acquisition of Evo-soft, a leading Dynamics Business Central specialist. The acquisition follows the recent investment of ECI Partners, the leading growth-focused mid-market private equity firm, following the full realisation of Beech Tree Private Equity who invested in BCN Group back in 2018. The acquisition provides BCN with an exceptional platform to provide solution driven services for businesses across the UK. The move enhances their focus and capability on delivering services and solutions from the Microsoft ecosystem.

Bridges Fund Management ("Bridges"), the specialist sustainable and impact investor, will be working with Storetec to expand their product portfolio and resources to offer more support to current and potential clients. The partnership came around because of the natural synergy with ESG between the two companies. With so much of our daily lives now powered by technology - a trend accelerated by the rise of remote and digital working post-Covid - data security has become one of the most important ESG issues of our time. According to the World Economic Forum, cyber security is now one of the five key risks facing businesses globally: more than 80% of UK companies have experienced a successful cyber attack in the last year. This is creating strong demand for services that can help companies digitise and secure their critical data: the electronic data storage market is forecast to grow at about 15% in the coming years. Bridges' investment (via its Sustainable Growth Funds) will work in partnership with the management team, led by founder & CEO Neil Robson, to accelerate the growth of their business in this market, offer enhanced services to existing clients and support more new clients in the U.K. and beyond. Vista will be supporting the business along its journey.

TECHNOLOGY Portfolio client Sagacity, a leading provider of tech-enabled customer data management solutions, has now acquired REaD Group Ltd and are incorporating them into the Sagacity brand and way of life. The takeover gives Sagacity access to a plethora of markets to which they previously did not have access, whilst also allowing them to expand skillsets and combine knowledge. Queen's Park Equity - QPE provides capital and expertise to entrepreneur-led businesses within Education, Health & Pharma and Tech Services with ambitions to accelerate their growth. Vista provided insurance due diligence to assist with this successful add-on acquisition.

FINANCIAL SERVICES

HEALTHCARE Vista provided Insurance Due Diligence to support Growth Capital Partners in the investment in Robiquity Group Limited. Robiquity is a specialist Intelligent Automation services provider with a heritage in implementing Robotic Process Automation applications and enabling businesses to automate and scale manual processes using technology. Robiquity is the leading UK independent Intelligent Automation service provider and has particular experience in the financial services, consumer and telco sectors. Robiquity was founded in 2016 by Jack Rimmer and Tom Gardner. In 2020 they appointed a CEO, Tom Davies and together they have successfully grown the headcount of the business to more than 100, establishing operations across North America and the Middle East. Growth Capital partnered with Tom, Jack, Tom and the wider management team, through an investment in July 2022.

Signature Corporate Finance engaged with Vista to provide their expertise and due diligence for the MBO of Inprova Group supported by NVM Private Equity LLP. Inprova is a leading technology and data enabled procurement services business that has more than 30 years’ experience of transforming procurement in the public, private and third sector. The investment will able the business to further develop its technology platform and procurement analytics capabilities.

Belfast based DM Financial have expanded their global operations with the acquisition of Dutch reporting, assurance and consulting specialist Solutional Holdings BV. This takeover allows DM Financial to strengthen their presence in Continental Europe, adding to offices in Ireland, Netherlands, UK, Singapore and the Cayman Islands. Synova started the partnership with DM Financial in June 2021 with the aim of supporting them with their future stages of development.

INTERNATIONAL

Belfast based DM Financial have expanded their global operations with the acquisition of Dutch reporting, assurance and consulting specialist Solutional Holdings BV. This takeover allows DM Financial to strengthen their presence in Continental Europe, adding to offices in Ireland, Netherlands, UK, Singapore and the Cayman Islands. Synova started the partnership with DM Financial in June 2021 with the aim of supporting them with their future stages of development.

PORTFOLIO CASE STUDY - ADD ON DUE DILIGENCE AT NO COST TO CLIENT Belfast based DM Financial, leading provider of specialist accounting services to the global alternative asset management industry has announced the acquisition of Netherlands based Solutional, a reporting, assurance, and consulting specialist for the financial sector. Led by founder Ian Doran, DM Financial's core service lines expanded to include specialised management accounting, corporate secretarial, liquidation and taxation compliance services with a growing international footprint with offices in Ireland, UK, Singapore, and the Cayman Islands. As of January 2022, the Company has provided reporting, compliance and accounting services to investment vehicles which have combined assets of circa US$700bn. Solutional, founded by Roger van den Berg, Marco van Empel and Martin Stravers has been providing financial and regulatory reporting services to the asset management industry for 17 years, preparing annually more than 30,000 financial and regulatory reports annually, and is the leading asset management reporting provider in the Netherlands. Solutional also provides consulting, internal audit and operational audit services for AIFMD and UCITS asset managers, pension funds and fund administrators, including ISAE3402 assurance services. Peter is a Director and co-founder of Vista. He is a fellow of the Chartered Insurance Institute and a Chartered Insurance Broker. Peter has worked in the industry for more than 35 years including more than 20 years working with Banks, Venture Capital and Private Equity investors on a wide range of transactions. His experience includes senior roles with international brokers, insurers and at Lloyd’s of London and is recognised for his specialist knowledge in Liability, Management Liability (D&O) and Business Interruption. As Technical Director Peter will personally sign off all diligence work. Together with Gavin Ruben, Peter manages relationships with our Private Equity partners and has established an international network of private equity insurance specialists to ensure that Vista provide a truly global service.

Gavin is Chief Executive Officer and a co-founder of Vista. He has more than 25 years’ experience in underwriting and broking and has worked on Mergers and Acquisitions with investors and portfolio businesses for 15 years. He has particular expertise in helping larger businesses with complex needs manage their total cost of risk through effective risk management and loss control strategies.

Dan joined the Vista Private Equity Team in 2022 to lead our insurance due diligence service delivery and to expand provision of our specialist broker facilities to the M&A sector.

Dan is a Chartered Insurance Broker with experience that spans owner-managed businesses and multinational corporate organisations, many of whom were backed by Private Equity investors.

Together with Peter Warburton, Gavin manages relationships with our Private Equity partners and manages, through board representation and strategy meetings, the service provided from our international network of private equity insurance specialists.

Peter is a Director and co-founder of Vista. He is a fellow of the Chartered Insurance Institute and a Chartered Insurance Broker. Together with Gavin Ruben, Peter manages relationships with our Private Equity partners and has established an international network of private equity insurance specialists to ensure that Vista provide a truly global service.

Gavin is Chief Executive Officer and a co-founder of Vista. He has more than 25 years’ experience in underwriting and broking and has worked on Mergers and Acquisitions with investors and portfolio businesses for 15 years. He has particular expertise in helping larger businesses with complex needs manage their total cost of risk through effective risk management and loss control strategies.

Dan joined the Vista Private Equity Team in 2022 to lead our insurance due diligence service delivery and to expand provision of our specialist broker facilities to the M&A sector.

Dan is a Chartered Insurance Broker with experience that spans owner-managed businesses and multinational corporate organisations, many of whom were backed by Private Equity investors.

Together with Peter Warburton, Gavin manages relationships with our Private Equity partners and manages, through board representation and strategy meetings, the service provided from our international network of private equity insurance specialists.

He has extensive knowledge of a broad range of industry sectors and their risk requirements, including the Construction industry and has a wealth of analytical expertise.
