Walter L. Davis - Biography

Walter Davis is a founding member of Peachtree Providence Partners. A private investment and consulting firm, Peachtree Providence Partners is a trusted partner for companies of all sizes and brings a unique combination of knowledge, professional experience, and capabilities with a wide range of corporate and entrepreneurial backgrounds. Mr. Davis’ unique combination of corporate and entrepreneurial expertise provides critical insights that drive enhanced performance. Davis is the former Vice Chairman, Chief Executive Officer and a founding member of Certus Bank, N.A., a full-service, nationally chartered financial institution employing more than 700 people in 11 states and operating 35 branches across the Carolinas, Florida and Georgia. In his role as Chief Executive Officer, Davis oversaw day-to-day operations and developed the strategic direction, capital formation and investor interaction that helped grow the organization into a $2.0 billion company organically and through acquisitions. Davis and the three other bank founders raised $500 million in capital commitments and were the first team to be awarded a national bank shelf charter after the passage of Dodd Frank, the most comprehensive financial reform since the Great Depression. As Chief Executive Officer of CertusBank, Davis provided executive direction and oversight for key business sectors including credit risk management, consumer banking, small business banking, special asset bank, public policy and community development. Starting with the purchase of a bank in January 2011, Davis and the other founders purchased nine companies and successfully integrated them onto one platform. In 2009, Davis co-founded and served as a Managing Partner of Integrated Capital Strategies, a distressed asset management and consulting company. The company managed more than $1 billion across several asset classes including mortgage, commercial and consumer. Prior to founding Integrated Capital Strategies, Davis served as Executive Vice President of Retail Credit and Mortgage Direct Lending at Wells Fargo Corporation, formerly known as Wachovia Corporation. During his tenure, Davis led Wachovia’s nationwide originations, underwriting, servicing, settlement services and default management functions for the Bank’s $75 billion retail credit and small business portfolio. Under his leadership, Wachovia Retail Credit received the J.D. Power #1 Customer Satisfaction Award in 2006 and 2007 for home originations and #1 in servicing in 2008.

Davis co-led Wachovia’s corporate initiative to refinance and restructure its $125 billion troubled option ARM portfolio during the financial crisis. Davis also provided strategic leadership and direction to the Bank’s mortgage portfolio. This included managing a P&L with an end-to-end sales and fulfillment channel for all 50 states via indirect and affinity channels including: employee loans, wealth management, securities, relocation, direct mail, internet, and phone. Among his other accomplishments, Davis led the company’s largest divestiture, Home Equity Sub-Prime Servicing, to Barclays North America. He was responsible for directing Wachovia’s first offshoring “voice to customer” initiative to the Philippines, after leading the first Wachovia General Bank’s offshoring effort to India. Prior to joining Wachovia, Davis was an executive at Bank of America in the Real Estate Syndicated Capital Markets Group. He was responsible for structuring and distribution of large real-estate transactions nationally, many of which included tax-exempt bonds and various tax-credit instruments. During his tenure at Bank of America, he developed and managed assets for multi-family and singlefamily housing in its Global Financial Institution’s Real Estate Development Group. Davis is an alumnus of the University of South Carolina. He is also a graduate of the University of North Carolina at Chapel Hill’s Executive Management Program. Additionally, he served as a guest lecturer for the University of South Carolina International MBA Program in 2012 and 2013, and guest lecturer for the UNC Charlotte Graduate School of Real Estate Development in 2017. He has held Series 7 and 63 licenses and holds the designation of certified affordable housing developer. Davis serves on the Boards of Institute Capital, a certified CDFI and HUB Pattern Corporation, a Roanoke, VA-based manufacturing company. He also serves as a member of the Advisory Board of Axum Capital Partners, a Charlotte based private equity firm as well as Angel Oak Lending. Davis is a Trustee on the Business Partnership Foundation Board at the Darla Moore School of Business at University of South Carolina. Davis was instrumental in authoring and advancing the Opportunity Zones legislation and subsequent regulations after its passage as a part of the Tax Cuts and Jobs Act of 2017. Davis has been asked to testify before congressional committees on the topics of Community Development Financial Institutions, Minority Depository Institutions, small business lending and Opportunity Zones. His role in helping craft the Opportunity Zones legislation has allowed him to speak as a subject matter expert with organizations and municipalities across the country. Davis’ endeavors and influence in the banking industry were highlighted in the book Banktown: The Rise and Struggles of Charlotte's Big Banks by Rick Rothacker, and he is often sought out for his insight by various media outlets. Additionally, he shares strategies on how best to attract and leverage private capital in distressed communities. Mr. Davis is former Chair of the Economic Inclusion Task Force for Vice President Pence and U.S. Senator Tim Scott.

James Floyd- Biography

James Floyd is the Vice President and Operating Partner for Cleveland Avenue, a privately held venture capital firm based in Chicago, Illinois. Cleveland Avenue invests in, builds, and extends brands for its portfolio of companies. Its mission is to support the growth of entrepreneurs in the restaurant, food tech and beverage sectors. The firm drives growth at all stages, from launching new concepts to supporting mature brands while providing financial resources and technical support. At Cleveland Avenue, Floyd develops new business, sales, and operating models for the portfolio companies. These new strategies have improved EBITDA and competitive positioning to enhance market share. Floyd is also responsible for organizational design, acquisitions, divestures, and operational support for existing management. He strategically leverages technology as an enabler for digital applications such as delivery models, cloud kitchens, mobile applications, andto drive customer loyalty. Floyd collaborates directly with the portfolio companies CEO’s and Board to accelerate targeted results. Prior to joining the Cleveland Avenue firm, Floyd was Chief Executive Officer of DGITIZE Inc., a digital solutions consulting firm based in Chicago, Illinois. As CEO, he used big data, predictive algorithms, and operating analysis to develop digital solutions for fortune 100 and middle market companies. The solutions were designed to help clients reimagine their strategy and growth plans through the use of technology. Many of the solutions included cost savings strategies, improved digital customer experience, process improvement innovations, and enhanced cyber outcomes. Floyd is the former Vice President of the U.S. Operations, Strategy and Execution for McDonald’s Corporation based in Oak Brook/Chicago, Illinois. He enjoyed a career of more than 25 years where he gained executive management experience in strategy, operational excellence, real estate, technology, brand growth, and supply chain management. In this role, Floyd was responsible for executing standards and systems across more than 14,000 restaurants in the U.S. with more than 25 million transactions per day and annual sales totaling over $28 Billion. Floyd created an operations analytics team to improve operating performance and to monitor KPI’s across the enterprise. He developed processes to monetize operational improvements for the entire U.S. for the first time in the company’s history. This change was made to align all US operations to a common metrics platform which made it easier to measure performance. Floyd created consistent metrics for company-owned and franchised restaurants leading to savings of an average of $50,000 per restaurant. He used his expertise to leverage technology across several operating platforms which led to improved competitive positioning and system efficiencies. Prior to the aforementioned role, Floyd served as the General Manager/Vice President of McDonald’s Central Division. As such, he managed more than 600 company-owned restaurants with full P&L responsibility. These restaurants were used to evaluate proof of concept for new designs, new product testing and to share best-practices with franchisees. Additionally, Floyd operated corporate restaurants across 16 states that included acquisitions/divestitures from franchisees, improved market share growth, operational efficiencies, and enhanced the customer’s experience. He centralized business models and leveraged analytics to achieve organizational alignment. He developed pricing philosophies for margin optimization and per unit growth. Prior to joining McDonald’s Corporation, Floyd was the Distribution/Production Systems Manager at Procter and Gamble in Cincinnati Ohio. He combined operations optimization with technology to determine best performance and cost efficiencies while improving profitability. He

strategically improved the engineering process across numerous departments, including automated vehicles and brand management. P&G applied technology across the entire ecosystem to be an industry leader in each sector and to educate the internal team regarding the end-to end process. Floyd was recognized for cost savings and improved production. Floyd is an alumnus of the University of Illinois, where he received his degree in Industrial Engineering and a minor in Computer Science and Business. He furthered his education by attending the following: Thunderbird International – Global Consortium, Kellogg - Northwestern University – Marketing/Brand Development, MIT – Business Re-Engineering, Cambridge, Massachusetts – Michael Hammer, Texas Instruments – Re-Engineering Forum for Leadership, and Deloitte Speaker – Analytics Summit for Leadership. Floyd currently serves as the Board Chair for Crown Automotive. He was prior Chair of the following Boards: Illinois Lottery Control Board, The National Business and Economic Commission – Alpha Phi Alpha Fraternity, Inc., Ronald McDonald House, and Illinois Diversity Council – Roundtable. Floyd has been the guest speaker at the following: GE – Minds and Machines Digital National Conference, Retail Technology Summit – Illinois Institute of Technology (IIT). He is on the Roosevelt University – Advisory board and Adjunct Professor – Business Leadership/Transformation. He serves as a Community Advisor for the following: Operation PUSH, Urban League, Defender Newspaper, and the Jackie Robinson Little League. Floyd has been recognized as McDonald’s Corporation President’s Award - Top 1% of McDonalds employees globally.

K. Angela Webb Biography

Angela Webb is a founding member of Peachtree Providence Partners Holding Company, LLC (PPP), formed in 2014. The subsidiaries of the holding company specialize in advisory services, financial solutions, commercial insurance brokerage, and private equity investing. Peachtree Providence Partners is headquartered in Atlanta, Georgia and has an office in Charlotte, North Carolina. The holding company has built a strong portfolio of start-up and mature companies that benefit from capital and operational management expertise. Peachtree Providence Partners pursues growth in its current business lines both organically, as well as, through joint ventures and investments. Mrs. Webb is the former President and a founding member of Certus Bank, a full-service, nationally chartered financial institution employing over 700 people in eleven states, and operating 35 branches across the Carolinas, Florida, and Georgia. In this role, Mrs. Webb provided input to the strategic direction and execution that helped grow the organization into a $1.9 billion company organically, as well as, through strategic acquisitions. During her tenure at Certus Bank, Mrs. Webb and the other three founders of Certus Bank raised $500 million in capital commitments and were the first team to receive a National Bank Shelf-Charter after the passage of Dodd-Frank, the most comprehensive financial reform since the Great Depression. Mrs. Webb served on the senior executive leadership team that led the Bank to become the fourth largest financial institution based in the state of South Carolina, and the 17th largest SBA lender in the country. During this time, Certus Bank generated $1 billion annually in mortgage production, experienced organic growth of more than $500 million in commercial/corporate and small business portfolios and purchased a one-third ownership in a New York City-based wealth management company. Starting with the purchase of a bank in January 2011 until her departure in 2014, Mrs. Webb and the other founders purchased nine companies and integrated them onto one platform successfully. Prior to joining Certus Bank, Mrs. Webb served as a Managing Partner at Integrated Capital Strategies, a distressed asset management and consulting company. The company has managed more than $1 billion across several asset classes including mortgage, commercial and consumer. Mrs. Webb is a 20+ year veteran of Wells Fargo and its predecessor institutions (Wachovia Corporation and First Union National Bank) where she held an executive role as Senior Vice President. In this role, Mrs. Webb managed a HR team that supported more than 20,000 employees in 39 states and 3 countries, exhibiting a deep acumen in disciplines including: strategic management, consulting, business underwriting, scorecard management, merger and acquisitions, divestitures, start-up, process integration, financial center management, sales,

operations, human resources, cultural integration, and diversity consulting. Mrs. Webb also supported Wachovia Corporation’s off shoring efforts into India and the Philippines. Mrs. Webb graduated from University of North Carolina at Charlotte with a bachelor’s degree in Industrial Psychology. She currently serves on the Small Business Advisory Committee of the United States Export Import Bank (EXIM Bank). Additionally, she serves as Treasurer of the Board of Capital Caring Health in Washington DC. Mrs. Webb is a former member of the Board of Bon Secour St. Francis Hospital System in South Carolina. Mrs. Webb has won numerous awards for her community engagement.
